JOB SUMMARY

Marriott International, Inc. is a worldwide operator, franchisor, and licensor of hotel, residential, timeshare, and other lodging properties under numerous brand names at different price and service points. Marriott’s Law Department services the Company's lodging and hospitality business and provides legal advice and counsel to Marriott’s internal clients. The Office of Entity Management (“OEM”) is part of the Law Department’s Corporate Legal Affairs practice group and serves the unique role of supporting the health of Marriott’s global roster of approximately subsidiaries and facilitating the completion of transactions initiated across a broad range of departments and disciplines within Marriott. The Managing Paralegal, Domestic Entity Management oversees the maintenance of Marriott’s US domestic subsidiaries and entities, including responsibility for ensuring compliance and governance in the establishment, maintenance, and dissolution of the Company’s domestic entities; and managing and overseeing domestic business entity information such as legal name, registered address, registrations and licenses, corporate lifecycle events, ownership details and entity documents. The individual also facilitates legal entity compliance with jurisdictional laws and regulations, policies and procedures, filings, and registration requirements. On a day-to-day basis, the position will be responsible for all aspects of entity management for Marriott’s US domestic entities and will manage the work of other team members who support OEM’s domestic entity management. This position also oversees OEM’s efforts in providing guidance and support to the global Law Department, Development, Tax, Corporate Statutory Accounting, Treasury, and various other disciplines and stakeholders regarding Marriott’s domestic entities. The individual will also be responsible for executing and leading special projects and for developing and executing process and workstream improvements reframe/streamline processes, introduce automation where possible, generate cost savings and time-saving approaches). In addition, this position is responsible for working within the Law Department and across corporate disciplines and stakeholders (internal and external) to produce results on assigned projects utilizing project management talents and functional knowledge, skills, and abilities. The Managing Paralegal, Domestic Entity Management reports directly to the Director, OEM and is located at Marriott’s Headquarters in Bethesda, Maryland. Expected Contributions This position is responsible for all aspects of entity management for Marriott’s domestic entities as described below: Manage the work of OEM team members who support the Company’s domestic entity management, including ensuring compliance and governance in the establishment, maintenance, and dissolution of the Company’s domestic entities; Provide oversight, advice and guidance to OEM team members who support the domestic entity management; Lead the overall direction, implementation and execution of domestic entity governance, including organizing board meetings, drafting and recording powers-of-attorney, corporate minutes and resolutions, developing officer and director appointment and signing processes, and updating operating agreements and by-laws; Serve as a primary point-of-contact for domestic subsidiary officers and directors; Consult and coordinate with the Tax, Accounting, Treasury and other departments to identify and process domestic entity formations, withdrawals, dissolutions, mergers, and other entity restructuring; Serve as the lead for the OEM regarding the Document Execution Approval Form (“DEAF”) process and provide training to all Law Department staff as needed; Working with the Director, OEM and [Senior Manager (International)], develop and execute OEM best practices for various processes, including but not limited to legalizations, authentications, document execution approvals and onboarding of subsidiary directors/officers; Review and update current processes to ensure consistency with company strategy, commitment and goals; Identify, negotiate, and facilitate the engagement of external counsel and third-party vendors to create and maintain the entity’s compliance within US domestic jurisdictions while providing high quality services and satisfying budget restraints; In partnership with and with guidance of the Director, manage internal templates, including powers-of-attorney, resolutions, and other organizational documents are consistent, compliant, and sustainable; Assist Law Department paralegals and attorneys and other disciplines in projects related to the work performed by the OEM and by reviewing and analyzing corporate entity documents of any degree of complexity; Strive to ensure that the procedures for best practices in the US Domestic OEM group are in line with Marriott’s internal policies and raise awareness to mitigate risk whenever possible; Manage internal processes, templates, and stakeholder management protocols to ensure appropriate entity management, governance, and transactional support outcomes; Perform other duties and special projects as requested; may involve handling confidential and sensitive material; and Manage and develop talent within the domestic entity management team, including training current and new staff members, conducting performance evaluations for current staff members, and leading hiring efforts in conjunction with Director, OEM and Human Resources for open positions. Candidate Profile Education: Four year college degree and Minimum relevant work experience of nine years. OR Two year college degree and Relevant work experience of twelve years OR At least years of relevant work experience as a paralegal and has significant subject matter experience. Successful candidates should possess knowledge, experience, and skills as follows: Expertise and experience in handling and managing all aspects of entity formation, maintenance, compliance, mergers, and dissolutions Expertise and proven track record in managing complex, multifunctional initiatives Strong leadership skills - ability to lead a team, motivating and developing talent and providing effective guidance, coaching and feedback. Ability to manage and supervise others.
