Job DescriptionJob DescriptionWe are searching for a meticulous Corporate Paralegal to join our team based in Portland, Maine. As a Corporate Paralegal, your main focus will be on corporate governance. You will be managing our corporate filings both domestically and internationally, liaising with various departments and outside counsel, and handling Intellectual Property matters. This role offers a short term contract employment opportunity.

Responsibilities:

• Oversee and manage all corporate filings in the United States and other countries.
• Collaborate with CSC, local counsel, and finance department on corporate and tax filings.
• Draft and manage corporate actions, including shareholder and director consents.
• Manage the routing and signatures for corporate filings.
• Work with outside counsel to oversee our Intellectual Property portfolio.
• Collaborate with our marketing and product teams to manage and improve the portfolio.
• Conduct Trademark and other searches for potential new marks for registration or usage.
• Show an interest in gaining experience in Intellectual Property, though this is not a requirement for the role.
• Handle Corporate Compliance and Corporate Legal matters.
• Maintain Corporate Minute Books and Shareholder Agreements.• Possess a sound understanding of Corporate Governance.
• Demonstrated experience in Intellectual Property law, including patents and trademarks.
• Proven expertise in Corporate Compliance.
• Familiarity with managing Corporate Entities.
• Proficiency in Corporate Legal matters.
• Experience with maintaining Corporate Minute Books.
• Ability to handle a variety of Corporate Matters.
• Prior experience as a Corporate Paralegal.
• Knowledge of drafting and managing Shareholder Agreements.
