Corporate Lawyer Opportunities

We are seeking experienced Corporate Lawyers to join our team at Platinum Legal Search Group, LLC. As a Corporate Lawyer, you will be responsible for advising clients on a wide range of corporate matters, including mergers and acquisitions, securities law, private equity, and capital markets.

Mergers and Acquisitions
  • Experience Required:
  • 2-6 years of experience in mergers and acquisitions, private equity, or corporate transactions.
  • Strong drafting, negotiation, and project management skills.
  • Exposure to a wide range of industries preferred.
  • Ability to manage multiple deals simultaneously.
Securities Law
  • Experience Required:
  • 3-7 years of experience in securities law.
  • Experience with public offerings, private placements, SEC reporting, and regulatory compliance.
  • Strong understanding of securities regulations, including the Securities Act of 1933 and the Exchange Act of 1934.
  • Experience with drafting and reviewing prospectuses, registration statements, and disclosure documents.
  • Familiarity with corporate governance and shareholder engagement.
Private Equity
  • Experience Required:
  • 3-5 years of experience in private equity transactions, fund formation, and investment management.
  • In-depth knowledge of structuring, negotiating, and documenting transactions.
  • Familiarity with capital markets and leveraged buyouts.
  • Experience working with portfolio companies and private equity funds.
  • Strong negotiation skills in acquisitions and divestitures.
Capital Markets
  • Experience Required:
  • 3-7 years of experience in capital markets, including debt and equity offerings.
  • Knowledge of securities offerings, IPOs, and secondary transactions.
  • Experience advising on corporate governance and SEC compliance.
  • Familiarity with public and private equity financings, including SPACs and PIPEs.
  • Expertise in drafting prospectuses, underwriting agreements, and offering memoranda.
Venture Capital
  • Experience Required:
  • 2-6 years of experience with venture capital and growth equity transactions.
  • Experience representing both investors and startup companies.
  • Familiarity with financing rounds, term sheets, and convertible notes.
  • Strong understanding of startup formation, equity issuance, and early-stage financing.
  • Experience with portfolio company advisory services.
Banking and Finance
  • Experience Required:
  • 2-6 years of experience in general banking and finance, including leveraged finance and acquisition finance.
  • Experience representing borrowers and lenders in loan transactions.
  • Familiarity with syndicated lending, secured financings, and credit facilities.
  • Knowledge of UCC Article 9, security interests, and lien perfection.
  • Experience with debt restructuring and workouts.
Corporate Governance
  • Experience Required:
  • 3-5 years of experience advising on corporate governance matters.
  • Experience with advising public and private companies on fiduciary duties, board matters, and corporate best practices.
  • Knowledge of SEC reporting requirements, proxy statements, and shareholder activism.
  • Experience with advising boards of directors and corporate officers on governance structures and compliance.
  • Familiarity with ESG (Environmental, Social, and Governance) reporting and sustainability initiatives.
Project Finance
  • Experience Required:
  • 3-7 years of experience in project finance, with expertise in energy, infrastructure, or real estate financing.
  • Familiarity with the negotiation and documentation of loan agreements, intercreditor agreements, and security arrangements.
  • Experience advising lenders, sponsors, and developers on large-scale projects.
  • Knowledge of financial modeling, project risk assessments, and financial structuring.
  • Experience with regulatory compliance in relation to energy and infrastructure projects.
General Corporate
  • Experience Required:
  • 2-6 years of experience in general corporate matters, including contract negotiation, corporate formations, and regulatory compliance.
  • Experience with corporate governance, joint ventures, and strategic partnerships.
  • Knowledge of contract drafting and reviewing, including purchase agreements and service contracts.
  • Familiarity with M&A transactions, private equity deals, and other corporate structuring matters.
Funds
  • Experience Required:
  • 3-6 years of experience in private equity and hedge fund formation and structuring.
  • Experience advising on fund formation, management, and regulatory matters.
  • Familiarity with the Investment Advisers Act, Dodd-Frank, and the Securities Act.
  • Experience working with general partners, investors, and limited partners.
  • Knowledge of the tax aspects of fund formation and investment structures.
