Key Responsibilities
- Engage with leasing representatives concerning lease agreements and negotiations with tenants or potential tenants. Support leasing agents with tenant proposals, including letters of intent and compliance checks. Collaborate with leasing agents to evaluate lease conditions and progress.
- Present and review proposed and current lease agreements, modifications, and finalized leases, and respond to any requested changes.
- Negotiate lease agreements, amendments, waivers, subordination agreements, estoppels, and termination agreements with tenants, legal representatives, and brokers. Draft and modify leases and amendments for both new and existing tenants. Gather necessary information and documentation from various departments for the final lease assessment. Guide administrative personnel in executing lease terms (e.g., providing critical dates for lease initiation) and address inquiries related to leases.
- Assist in the formulation of purchase and sale agreements. Participate in due diligence processes in preparation for property closings.
- Negotiate additional lease documentation, including waivers, subordination agreements, estoppels, termination agreements, rental contracts, etc.
- Maintain a thorough understanding of lease terms, obligations, and responsibilities inherent in each lease (such as adhering to penalty and deadline requirements), along with exclusives and restrictions to prevent violations of existing agreements.
- Prepare documents post-lease execution, such as waivers, Subordination, Non-Disturbance, and Attornment (SNDA) agreements, and tenant improvement allowances.
- Provide support to various departments regarding insurance claims, lease disputes, and tenant issues related to lease terms and collections.
- Assist in managing all facets of eminent domain proceedings. Support compliance with and applications for governmental incentives (e.g., benefits from the Industrial Development Agency).
- Ensure the timely completion of weekly lease listings.
Qualifications
- Juris Doctor (J.D.) degree required, with a minimum of 5 years of legal practice.
- Specific expertise in commercial real estate leasing is advantageous.
- Proficient in contract negotiations.
- Exceptional communication skills, both written and verbal, are essential; proficiency in Microsoft Office applications is required; demonstrated ability to manage multiple real estate files effectively and efficiently.
