Key Responsibilities:
  • Offer legal counsel and support to corporate clients on various matters, including mergers and acquisitions, corporate governance, and business formations.
  • Draft, review, and negotiate a diverse array of commercial contracts and agreements to safeguard the company's legal interests.
  • Conduct thorough due diligence in corporate transactions and provide strategic advice to clients.
  • Assist in the establishment, dissolution, and restructuring of business entities.
  • Collaborate with senior attorneys to devise legal strategies and solutions for intricate corporate challenges.
  • Stay informed about legislative changes that may impact the firm and its clients.
  • Formulate company policies and positions on legal matters.
  • Perform research, analyze case law, redline contracts, and undertake additional responsibilities as required.
  • Represent the firm in legal proceedings.
  • Develop relationships with clients to better understand their business needs and provide tailored legal support.

Qualifications:
  • Juris Doctor (JD) degree from an accredited law institution.
  • A minimum of 2+ years of experience in corporate law, particularly in mergers and acquisitions, business formations, entity management, contract negotiations, and drafting.
  • Must hold a valid license to practice law in Ohio.
  • Exceptional negotiation abilities and proficiency in interpreting and drafting complex legal documents.
  • Strong grasp of corporate governance and compliance issues.
  • Excellent analytical, research, and writing skills.
  • Capability to work autonomously and collaboratively, managing multiple priorities in a dynamic environment.
  • High standards of professional ethics and integrity.
  • Outstanding interpersonal and communication skills.
  • Proficiency in Microsoft Office Suite and legal research tools.
