About the Role

We are seeking a highly skilled Corporate Associate Attorney to join our dynamic legal team at Jobot. As a key member of our team, you will provide comprehensive legal support to our corporate clients, focusing on mergers and acquisitions, corporate governance, and business formations.

Responsibilities
  • Provide expert legal advice and support to corporate clients on a broad range of corporate matters, including mergers and acquisitions, corporate governance, and business formations.
  • Draft, review, and negotiate a wide range of commercial contracts and agreements to ensure the company's full legal rights.
  • Conduct due diligence in corporate transactions and advise clients accordingly.
  • Assist in the formation, dissolution, and restructuring of business entities.
  • Work closely with senior attorneys to develop legal strategies and solutions for complex corporate issues.
  • Keep abreast of legislative changes that may affect the company and its clients.
  • Develop company policy and position on legal issues.
  • Conduct research, analyze case law, redline contracts, and perform other duties as necessary.
  • Represent the company in legal proceedings.
  • Build relationships with clients and work to understand their business to better serve their legal needs.
Requirements
  • Juris Doctor (JD) degree from an accredited law school.
  • A minimum of 2+ years of experience in corporate law, with a focus on mergers & acquisitions, business formations, entity, contract negotiations, and contract drafting.
  • Must be admitted to practice law in Ohio.
  • Exceptional negotiation skills and the ability to interpret and draft complex legal documents.
  • Strong understanding of corporate governance issues and corporate compliance matters.
  • Excellent analytical, research, and writing skills.
  • Ability to work independently and as part of a team, managing multiple priorities in a fast-paced environment.
  • High degree of professional ethics and integrity.
  • Outstanding interpersonal and communication skills.
  • Proficiency in Microsoft Office Suite and legal research platforms.
