Job Overview

The Commercial Counsel will be a key member of the legal team at STAAR Surgical, supporting the company's day-to-day commercial contracting efforts. This role will involve drafting and negotiating customer, vendor, and physician consulting agreements, as well as contributing to the overall success of the legal team.

Key Responsibilities:

  • Drafting and negotiating commercial contracts, including customer and pricing, vendor services, physician consulting, distribution and import, data protection, clinical trial/investigator-initiated study, and non-disclosure agreements.
  • Collaborating with business clients and third parties to understand business requirements and policies, including coordination with Procurement, Information Security, Privacy, and Compliance.
  • Supporting the implementation of contract management procedures, tools, and tracking, including policies and procedures to improve and enhance the contracting process.
  • Reviewing marketing, advertising, and promotional materials alongside the medical and regulatory affairs team.
  • Providing clear and practical legal advice and risk guidance to commercial business partners and key stakeholders related to commercial activities, compliance, regulatory, and other related matters.

Requirements:

  • Juris Doctorate (JD) and admission to practice in California (in good standing); or admitted to practice in another state and registered with the State Bar of California.
  • At least 5+ years' experience as an attorney, including law firm experience and in-house experience; medical technology company experience preferred.
  • Experience drafting and negotiating commercial contracts.

  • General knowledge of medical technology industry, including applicable legal, compliance, and regulatory frameworks.
  • Self-motivated, with ability to independently identify, analyze, and render practical legal advice and counsel.
  • Strong contract drafting and negotiating skills, with appreciation for broader picture and long-term impact.
  • Understanding of, and willingness to learn and develop skills to support, compliance, regulatory, marketing, advertising, and promotional activities.
  • Ability to build consensus with diverse stakeholders and third parties and form strong, collaborative working relationships with clients.
  • Ability to manage shifting workload priorities, with strong organization skills and ability to meet multiple deadlines across a variety of projects and programs.
  • Detail oriented, with a high degree of accuracy and efficiency.
  • Excellent computer, communications, problem-solving, and analytical thinking skills.
