About the Role:

The firm is in search of a Vice President, Litigation and Contracts Counsel to enhance its Legal Department. This position is well-suited for a legal expert with at least 4 years of experience in contract law and some exposure to litigation. The role merges responsibilities in both litigation and contract law, necessitating an individual capable of overseeing intricate cases and a diverse array of contracts. The position offers a hybrid work arrangement, requiring 4 days in the office each month.

Key Responsibilities:

  • Contract Oversight: Draft, negotiate, and review a broad spectrum of contracts, including Master Service Agreements, real estate contracts, and vendor agreements. Ensure compliance with applicable legal and regulatory standards while supporting third-party contract evaluations.
  • Litigation Management: Act on behalf of the firm in arbitration and court proceedings, effectively guiding cases from initiation through resolution or trial. Provide legal counsel in matters related to white-collar crime and work alongside the Compliance Department to develop litigation prevention strategies.
  • Advisory Function: Offer ongoing legal guidance to business units on various issues, including disputes and contract-related inquiries. Provide strategic insights on arbitration matters and play a crucial role in maintaining compliance with U.S. laws.
  • Collaborative Engagement: Engage directly with business clients to gain a comprehensive understanding of their operations and products. Collaborate with fellow attorneys and business partners to deliver strategic legal advice and manage legal proceedings, including negotiations and reputational risk management.
  • Leadership Role: Independently manage cases, oversee outside counsel as needed, and guide paralegals in litigation matters and responses to subpoenas and document requests.
  • Documentation Management: Prepare essential business and corporate transaction documents, such as contracts and operating agreements. Maintain and update contract templates while supporting contract-related initiatives, including internal process evaluations and policy implementations.
  • General Legal Support: Contribute to the legal department's broad approach by providing assistance across various legal domains as required.

Required Experience:

  • Bachelor's Degree from an accredited institution.
  • Strong academic background, including a J.D. and the ability to practice law in California.
  • A minimum of 4 years of experience in contract law, particularly with MSAs and vendor agreements.
  • Some background in litigation.
  • Familiarity with SEC regulations and a desire to expand knowledge of FINRA and trading licenses.
  • Experience in the financial services industry is highly desirable.
  • Proven ability to independently lead cases without relying solely on external counsel.
  • Excellent written and verbal communication skills, with a keen attention to detail.
  • Strong interpersonal abilities, facilitating effective communication across all organizational levels.
