Job Summary

The Associate General Counsel will be responsible for managing all aspects of commercial contract negotiations with clients and vendors, specializing in healthcare clients. This role will involve project managing commercial contract negotiations, renewals, and amendments, as well as collaborating with other members of the Office of the General Counsel and Contracts Management teams to advance and finalize agreements with clients.

Key Responsibilities
  • Manage all aspects of commercial contract negotiations, renewals, and amendments with current and prospective clients.
  • Collaborate with other members of the Office of the General Counsel and Contracts Management teams to advance and finalize agreements with clients.
  • Project manage RFP submissions, including answering client questionnaires, gathering necessary documentation, and registering with various state and local procurement portals.
  • Review and negotiate client and vendor Master Services Agreements, Single Project Agreements, Business Associate Agreements, IT License Agreements, SAAS Agreements, Data Use Agreements, Subcontractor Agreements, and Non-Disclosure Agreements.
  • Assist in general compliance and governance issues as needed.
Requirements
  • Juris Doctorate Degree with 5+ years of relevant corporate law and contract negotiation experience.
  • Demonstrated ability to recognize and weigh business and legal risks, think strategically, and advance practical solutions.
  • Superior drafting skills, especially the ability to draft contract language that is clear, concise, and easily understood.
  • Advanced knowledge of Microsoft Word and Excel.
