Job Summary

We are seeking a highly skilled Corporate Paralegal to join our team at Western Digital. As a key member of our global legal team, you will be responsible for managing the corporate maintenance, administration, and ongoing compliance of a large portfolio of U.S. and international subsidiary entities.

Key Responsibilities
  • Manage corporate minute books, maintain corporate structure charts, and coordinate annual meeting processes for global subsidiaries.
  • Administer subsidiary management databases, draft corporate organizational documents, and maintain director and officer records.
  • Liaise with internal non-U.S. legal teams, outside counsel, and secretarial service vendors to maintain compliance with local legal requirements.
  • Coordinate and prepare necessary documents for effective entity management, including governing documents, intercompany agreements, and banking resolutions.
  • Support corporate transactions, including tax and finance transactions, capital changes, dividend payments, restructurings, mergers, dissolutions, contributions, and other related activities.
Requirements
  • BA/BS degree with a strong academic record.
  • Paralegal certificate from an ABA-approved program with an emphasis in corporate law.
  • 8+ years of corporate paralegal experience with a global company or equivalent law firm experience.
  • Proven experience in coordinating international subsidiary governance and secretarial matters, assisting with annual filings, and organizing and maintaining legal entity records.
  • Ability to execute projects and tasks independently with minimum supervision.
  • Detail-oriented, organized, and able to work in a team environment.
  • Good sense of humor, positive attitude, and willingness to roll up their sleeves and get the job done.
