Role Summary

The NDA Compliance Legal Specialist plays a crucial role in supporting the organization's Intellectual Property protection initiatives by overseeing the comprehensive process of managing Non-Disclosure Agreements (NDA). The ideal candidate will collaborate with the Contract Administrator and various teams within Legal Operations to ensure adherence to the company's Levels of Authority Policy and associated controls. Continuous improvement of processes to enhance the efficiency and effectiveness of NDA and contract management is expected.

Reporting Structure: This position reports directly to the Director of Global Compliance.

Key Responsibilities

Essential duties and responsibilities include, but are not limited to:

  • Collaborate with the legal team to review, draft, and negotiate NDAs.
  • Provide exceptional service to internal stakeholders and clients.
  • Utilize various tools for managing NDA requests, including contract management software and Microsoft Office applications.
  • Develop and refine procedures and training materials to support NDA compliance.
  • Establish and monitor performance metrics to ensure timely processing of NDA requests.
  • Gather necessary documentation and information to respond to inquiries.
  • Assist in training regional partners to ensure global compliance with NDA and contract administration.
  • Manage workflow tools to secure corporate approvals and ensure authorized signatories.
  • Support the review of commercial contracts and maintain records in the Contract Management system.
  • Ensure accuracy in sourcing contract data related to internal signature authority policies.
  • Educate employees on the Levels of Authority Policy.
  • Track and address policy violations as necessary.
  • Maintain a database for Powers of Attorney and Delegations of Authority.
  • Participate in audits to verify compliance with corporate policies regarding contract management.
  • Prepare reports and documentation as required.
  • Collaborate with the Global Compliance team on policy management and compliance initiatives.
  • Assist with additional tasks as needed by Legal Operations.
Qualifications

Education & Experience:

  • Post-secondary paralegal certification or degree, or equivalent experience (minimum 5 years).
  • Bachelor's degree preferred.
  • Project Management experience preferred.

Knowledge, Skills, and Abilities:

  • Familiarity with legal terminology and principles.
  • Proficient in contemporary office technology and applications, including SaaS/Cloud systems and Microsoft 365.
  • Ability to make independent decisions based on technical information.
  • Expertise in legal research and document analysis.
  • Proven ability to manage multiple projects effectively.
  • Strong verbal and written communication skills.
  • Ability to provide high-level support across a global organization.
