Responsibilities
  • Mergers & Acquisitions and Corporate Transactions: Support major corporate transactions, including M&A, strategic investments, and other corporate deals. Collaborate with the corporate strategy team to identify issues, support due diligence efforts, and review transaction documents.
  • Securities Law Compliance: Assist with securities law compliance and reporting, including reviewing and preparing SEC filings, such as Form 10-Ks, Form 10-Qs, and Form 8-Ks.
  • Corporate Law: Provide day-to-day legal counsel to in-house clients on general corporate law issues, including advising on corporate governance, contracts, and other matters.
Requirements
  • Extensive experience in M&A, corporate, and securities law, preferably gained at a law firm and/or public company in-house legal department.
  • Proven ability to manage multiple projects and prioritize tasks in a fast-paced environment.
  • Demonstrated experience with SEC filings and compliance.
  • Experience in the semiconductor or technology industry is a plus.
Qualifications
