Key Responsibilities:

Contract Management

  • Evaluate and negotiate sales agreements; oversee the complete lifecycle of contract negotiations, execution, and database management.
  • Collaborate with Sales and Finance teams to finalize sales contracts, create intricate pricing structures, and address various legal inquiries.

Employment Matters

  • Provide comprehensive legal support for employment-related issues.
  • Take primary responsibility for tracking and managing immigration matters for the global workforce (no prior immigration law experience required).

Compliance and Privacy Oversight

  • Oversee and manage general compliance issues, including export regulations, HR matters, and legal documentation.
  • Manage export compliance records and screening processes.
  • Coordinate with external legal counsel on compliance matters as they arise.
  • Advise on pertinent privacy legislation.

Corporate Governance

  • Prepare and monitor documentation for new stock option grants, option exercises, and year-end tax notifications.
  • Comprehend complex capitalization structures and respond to inquiries from management and shareholders.

Minimum Qualifications:

  • J.D. from an accredited law school and membership in the Illinois State Bar.
  • 3 to 8 years of experience, ideally in-house, though not mandatory.
  • Experience in a software or technology company is essential (particularly in negotiating commercial contracts and SaaS agreements).
  • Willingness to work on-site, as we do not support remote work due to the importance of face-to-face collaboration.
  • Ability to undertake some domestic and international travel for the organization (1-3 times annually).

Preferred Qualifications:

  • Exceptional communication abilities.
  • Experience in Intellectual Property, Corporate Governance, and Employment Law is advantageous.
  • Self-motivated, well-organized, and eager to learn and master additional tools (such as web-based contract databases and stock management systems).
  • Team-oriented with the capability to collaborate effectively with internal stakeholders.
