Position Overview

The RAND Corporation is in search of a dedicated and skilled attorney to join our Office of the General Counsel (OGC) as an Assistant General Counsel, specializing in Government Contracting and Business Agreements. This position reports directly to the Vice President, General Counsel, and Corporate Secretary.

Key Qualifications

The ideal candidate will possess:

  • In-depth knowledge of federal government contracting, including the Federal Acquisition Regulations (FAR) and Defense Federal Acquisition Regulation Supplement (DFARs);
  • Interest in engaging with various U.S. and international business agreements while providing comprehensive legal counsel;
  • Experience or a desire to develop expertise in critical areas such as export compliance, human subjects research compliance, and Intellectual Property (IP);
  • A commitment to identifying risks and opportunities, along with innovative problem-solving skills;
  • A passion for the legal domains relevant to the role;
  • A mindset focused on continuous improvement.

About the Office of the General Counsel

Our OGC is a compact, mission-driven team that supports the entire organization. We strive to enable RAND to fulfill its mission through a collaborative approach, providing insightful advice across core functional areas including Legal Services, Corporate Governance, Ethics & Compliance, Investigations, and Privacy. Each team member brings specialized skills while also being intellectually curious generalists.

Role Responsibilities

As part of a focused OGC team, the primary responsibilities will include:

  • Collaborating with research division leadership to navigate legal complexities, particularly in federal government contracting;
  • Drafting and negotiating various business agreements and legal documents;
  • Advising on federal, state, and municipal contracts, as well as international agreements and IP/data use agreements;
  • Working with the Director of Contracts to refine processes for contract review and negotiation;
  • Identifying potential vulnerabilities and risks, collaborating with stakeholders to implement solutions;
  • Managing outside counsel as necessary;
  • Providing guidance on compliance with relevant laws and regulations;
  • Undertaking special projects as assigned by senior counsel.

Additional Responsibilities

Other duties may include:

  • Advocating with research sponsors in conjunction with research leadership;
  • Providing training on topics such as international trade controls and export regulations;
  • Handling requests under the Freedom of Information Act and related state laws;
  • Advising on human subjects protection compliance;
  • Consulting on terms related to charitable gifts and grants.

Required Qualifications

The successful candidate will have:

  • A minimum of six years of legal experience with a focus on the responsibilities outlined above;
  • A detail-oriented approach and the ability to work effectively under pressure;
  • A proven track record as a problem-solver who takes ownership of responsibilities;
  • The ability to provide sound judgment in ambiguous situations;
  • Strong collaborative skills and the ability to build consensus among diverse groups;
  • A drive for continuous improvement and the ability to create agile systems;
  • A willingness to take on increasing responsibilities and tackle novel legal issues;
  • The capacity to prioritize and adapt to changing needs.

Preferred Qualifications

Preferred qualifications include:

  • Experience in additional responsibilities as outlined above;
  • Previous work in a government contracts department or with organizations contracting with the U.S. Federal Government;
  • Effective management of outside counsel;
  • Experience in the non-profit sector.

Education and Licensing

Applicants must hold a J.D. and be licensed to practice law in good standing. If not licensed in the state of employment, candidates must meet specific requirements for Registered In-House Counsel.

Security Clearance

The ability to obtain and maintain a U.S. Government Security Clearance is required for this position.

Work Environment

This role is eligible for a hybrid work environment, allowing a blend of on-site and remote work.
