Job Summary

Compintelligence Inc is seeking a highly skilled Senior Stock Plan Administrator to join our team. This is a hybrid onsite position that will involve administering equity programs for one of our clients across 65 locations.

Key Responsibilities
  • Equity Program Administration: Manage the ongoing administration of employee, executive, and Board of Director stock programs, including planning and project managing implementation of new programs.
  • Reporting and Analysis: Assist in the preparation of reports for management and the Compensation Committee of the Board regarding equity plans and grant analysis.
  • Equity Utilization Projections: Prepare equity utilization projections and supporting analysis, including burn rate, overhang, etc.
  • Procedure Updates: Ongoing review and updates to all internal procedures and control documentation with regard to the management and administration of all company stock plans.
  • Equity Grant and Vesting Processes: Manage monthly, quarterly, and yearly equity grant and vesting processes, including RSUs, performance, and NQ stock options.
  • Communication and Data Provision: Develop and deliver timely communication related to stock awards, including grant notification, terms, and vesting events. Provide equity data from Fidelity for SEC filings, including Proxy and Section 16 reports.
  • Transfer Agent Management: Direct the company's transfer agent in matters related to stock programs, such as plan reserve maintenance, restricted stock issuances, and book entry accounts and releases, and maintain share balance reserves for all company stock plans.
  • System Management: Familiar with the outsourced stock administration system (Fidelity desirable) and ensure smooth, accurate, and timely settlement of daily transaction activity with stock administrator and our transfer agents for options, executive performance options, RSUs, and ESPP.
  • Reporting and Review: Provide reports from systems to meet internal and external requirements. Partner with Compensation, HRIS, and Fidelity to develop new reports and internal review processes as needed.
  • Automation and Control: Develop and enhance automation in all areas of stock administration for streamlining of processes. Serve as primary contact for audit requests and assist in establishing, documenting, and maintaining control procedures associated with stock plan administration.
  • Financial Analysis and Reconciliation: Provide analysis and reconciliation at accounting end periods. Generate Section 16 filings and monitor 10b5-1 and preclearance activity.
  • Employee Support: Respond to executive and employee equity plan questions. Participate in Stock Administration initiatives and contribute to program development.
Requirements
  • Experience: 12+ years of experience in stock administration, including stock options, restricted stock units, and/or performance-based stock awards.
  • Communication Skills: Excellent communication skills and ability to communicate with all levels of the organization.
  • Technical Skills: Expertise in Microsoft Excel, Word, and other Microsoft Office applications.
  • Independence and Judgment: Able to work independently, handle multiple priorities, and apply good judgment.
  • Dynamic Environment: Function in a dynamic changing environment.
  • Attention to Detail: Meticulous attention to detail and accuracy.
  • Additional Requirements: Familiarity with China SAFE a plus. Experience with Fidelity desired.
  • Preferred Education Background: Certified Equity Professional certification preferred. College degree preferred.
