Position Overview
The Global Chief Legal Officer (CLO) will report directly to the Group CEO and will be instrumental in establishing the legal architecture of a multifaceted organization operating on an international scale. The CLO will be crucial in directing legal strategy, ensuring international compliance, managing risks, negotiating contracts, safeguarding intellectual property, and overseeing dispute resolution and litigation management on a global basis.
Key Responsibilities:
- Oversee and resolve legal disputes and litigation across various jurisdictions, coordinating with external legal counsel and representing the organization’s interests in legal matters.
- Formulate and implement comprehensive legal strategies that align with the organization’s global business goals while adhering to regulatory requirements and corporate governance standards.
- Ensure compliance with legal and regulatory obligations across multiple continents, covering areas such as corporate governance, data privacy, employment law, intellectual property, and industry-specific regulations.
- Devise and execute strategies to protect the organization’s intellectual property rights worldwide, including trademarks, patents, copyrights, and trade secrets, and manage enforcement actions as necessary.
- Lead legal due diligence and provide counsel on mergers and acquisitions, joint ventures, strategic partnerships, and other cross-border transactions, ensuring legal compliance and risk mitigation.
- Establish and maintain relationships with government officials, regulatory bodies, industry associations, and other stakeholders globally, advocating for the organization’s interests in legislative and regulatory matters.
- Develop and oversee ethics and compliance programs to foster a culture of integrity, transparency, and ethical conduct throughout the organization, providing necessary training and guidance to employees.
- Offer legal support and advice for international expansion initiatives, including market entry strategies, regulatory compliance, and the establishment of legal entities and partnerships.
- Negotiate complex commercial agreements, partnerships, mergers and acquisitions, and other transactions, while overseeing contract management processes to ensure compliance and mitigate legal risks.
- Perform additional duties as assigned.
- Willingness to travel up to 20% domestically and internationally.
The CLO will directly supervise employees within the Legal department, executing supervisory responsibilities in accordance with organizational policies and applicable laws. Responsibilities include interviewing, selecting, hiring, and training employees, planning, assigning, and directing work; appraising performance, rewarding and disciplining employees, addressing complaints, and resolving issues.
Qualifications:
To excel in this role, candidates must demonstrate the ability to fulfill each essential function satisfactorily. The qualifications listed below represent the knowledge, skills, and abilities required:
Education & Experience:
- Bachelor's degree (BS/BA) from an accredited institution and a minimum of 10 years of relevant experience; or an equivalent combination of education and experience.
- Juris Doctor (JD) degree from an accredited law school; admission to the bar in at least one jurisdiction is required. Foreign bar admission is advantageous.
- A minimum of 10 years of legal practice experience, focusing on corporate, securities, and international law, preferably in a global business context.
- Experience managing litigation processes in employment law, contract law, or securities law.
- Comprehensive understanding of legal and regulatory issues affecting global enterprises, including intellectual property, data privacy, antitrust, and compliance.
- Experience advising on mergers and acquisitions, joint ventures, and other strategic transactions is preferred.
- Experience providing counsel to boards of directors and board committees on legal matters, corporate governance best practices, fiduciary duties, and board effectiveness.
- Strong business acumen with the ability to align legal strategies with broader business objectives.
- Confidence in courtroom settings.
- Exceptional negotiation, communication, and interpersonal skills, with the ability to build relationships and collaborate effectively across diverse cultures and geographies.
- Ability to thrive in a fast-paced, dynamic environment while managing competing priorities and deadlines.
- Strong executive presence, capable of interacting confidently with senior executives, board members, investors, regulators, and other external stakeholders.
- Proficiency in crisis communication and media relations, including the ability to develop and implement strategies to manage reputational risks.
The total compensation for this role is $225,000 per year, with considerations including role responsibilities, work experience, education, and key skills.
