Position Overview:
The Chief Legal Officer is tasked with delivering extensive legal guidance to Noodles & Company, ensuring compliance with all relevant laws and regulations. This pivotal role involves overseeing the internal legal team and coordinating with external legal advisors. The Chief Legal Officer will proactively manage legal risks, support business operations, and contribute to the strategic objectives of the organization. Reporting directly to the CEO, this position is essential in shaping and implementing the company’s legal framework.

Key Responsibilities:
- Provide expert legal counsel to senior management and various departments on a broad spectrum of legal issues, including corporate governance, contracts, compliance, real estate, intellectual property, employment law, and litigation.
- Act as a principal legal advisor to the Board of Directors and its committees, preparing and reviewing board materials, minutes, resolutions, and other governance documents.
- Assist with corporate governance matters, including the development and implementation of corporate policies, maintaining corporate records, and ensuring compliance with securities laws and stock exchange requirements.
- Collaborate with the Chief Accounting Officer to prepare and review SEC filings, ensuring timely and accurate submissions in accordance with SEC regulations.
- Oversee real estate functions, focusing on lease negotiations, drafting and reviewing lease agreements, and ensuring compliance with relevant real estate regulations.
- Manage franchise compliance, providing expert legal guidance on Franchise Disclosure Documents, franchise agreements, and Area Development Agreements.
- Ensure adherence to federal, state, and local laws affecting company operations, developing policies and procedures to mitigate legal risks.
- Draft, review, and negotiate various contracts, ensuring alignment with the company’s objectives and legal standards.
- Oversee litigation matters, collaborating with external counsel to develop strategies and manage costs effectively.
- Identify potential legal risks and develop strategies to mitigate them, providing training and guidance to employees on legal issues and best practices.
- Manage the daily operations of the legal department, including overseeing legal staff, budget, and departmental policies.
- Protect the company’s intellectual property by advising on trademarks, copyrights, and trade secrets.
- Ensure compliance of marketing and promotional activities with relevant laws and regulations.
Qualifications:
- A minimum of 7-10 years of experience in governance, securities, SEC reporting, and corporate finance.
- Juris Doctor (JD) degree from an accredited law school.
- Active bar membership in good standing.
- Experience advising executive teams and boards of publicly traded companies.
- Strong communication skills with the ability to maintain effective working relationships across the organization.
- Proven ability to exercise sound judgment in managing complex legal issues.
- High organizational skills with a keen attention to detail.
- Excellent written, verbal, and interpersonal communication abilities.
- Capacity to manage multiple matters simultaneously in a dynamic work environment.
