POSITION SUMMARY

Cedar Pine, LLC is in search of a skilled and proactive Associate Counsel to join our legal team. The successful candidate will be instrumental in delivering strategic legal insights and support across a variety of legal and compliance issues, aligning with the organization's business goals and strategic vision.

This role requires expertise in diverse legal fields, including but not limited to securities regulation, compliance frameworks, intellectual property rights, employment legislation, and general corporate governance. The Associate Counsel will play a vital role in ensuring adherence to legal standards, regulations, and internal protocols throughout the organization.

WORK ENVIRONMENT

Cedar Pine operates under a hybrid work model, necessitating in-office presence three days a week.

KEY RESPONSIBILITIES

  • Perform comprehensive analyses and due diligence on prospective private investments.
  • Oversee the complete deal lifecycle, including negotiations and structuring, while liaising with external legal representatives and co-investors.
  • Work collaboratively with cross-functional teams and external consultants to facilitate seamless transaction execution.
  • Draft, review, and negotiate legal documents related to investments, such as non-disclosure agreements, partnership contracts, and subscription agreements.
  • Conduct risk evaluations with various business units to ensure policies are in sync with operational practices.
  • Develop, revise, and implement policies and procedures to maintain an effective compliance framework.
  • Engage with departmental leaders to ensure alignment of business operations with strategic priorities and regulatory requirements.
  • Proactively assess business activities to identify potential compliance and reputational risks.
  • Lead training initiatives to foster a strong culture of compliance within the organization.
  • Utilize existing technology solutions to meet compliance obligations effectively.
  • Evaluate internal business systems to ensure conformity with industry regulations and ethical standards.
  • Establish and manage control systems to ensure proper implementation of policies and adherence to legal mandates.
  • Assist with various legal matters, including intellectual property, estate planning, and employment issues.
  • Maintain relationships with external legal advisors to support the firm's strategic objectives.
  • Provide guidance on applicable laws and regulations pertinent to family office operations.
  • Address legal inquiries from internal teams, including investment, finance, and operations, ensuring timely and cohesive responses.
  • Keep accurate and organized records of investment-related legal documents.

QUALIFICATIONS

  • Bachelor's degree in a relevant field.
  • Juris Doctor (J.D.) from an accredited law school and active bar membership, preferably in Illinois.
  • A minimum of 4 years of legal experience in corporate law, private equity, and family office environments, ideally within a large law firm.
  • Comprehensive understanding of federal securities laws, particularly the Investment Advisers Act of 1940, and relevant industry regulations.
  • Exceptional written and verbal communication skills, with the ability to simplify complex legal concepts for non-legal stakeholders.
  • Strong research, drafting, and negotiation abilities, with meticulous attention to detail.
  • Proven capability to manage multiple projects and meet deadlines in a fast-paced setting.
  • Ability to work independently and collaboratively, critically analyzing complex issues and proposing effective solutions.
  • Excellent interpersonal skills, with a talent for influencing and negotiating with various stakeholders.
  • Commitment to quality and attention to detail.
  • Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, etc.).
