POSITION SUMMARY

Cedar Pine, LLC is on the lookout for a skilled and proactive Legal Counsel Associate. The selected candidate will be pivotal in delivering strategic legal counsel and insights on a diverse array of legal and compliance issues to bolster business goals and the strategic vision of the family office in accordance with its priorities. The ideal candidate will have a background in various legal disciplines, including securities law, regulatory compliance, intellectual property, employment law, and general corporate matters. This role is crucial in ensuring adherence to laws, regulations, and internal policies across the organization.

This position will also focus on enhancing and supporting the compliance program, conducting audits, and providing guidance to foster an ethical and compliant workplace culture. The role reports directly to the General Counsel and presents an excellent opportunity to contribute to a dynamic, growing, and innovative organization.

KEY RESPONSIBILITIES

  • Perform comprehensive analysis, due diligence, and evaluation of potential private investments.
  • Oversee the complete deal process, including negotiations and structuring, while liaising with external counsel, counterparties, and co-investors.
  • Work collaboratively with cross-functional teams and external advisors to ensure seamless transaction execution.
  • Draft, review, and negotiate investment-related documents, such as non-disclosure agreements, partnership agreements, limited liability company agreements, offering memoranda, subscription agreements, investor side letters, and other legal documents.
  • Conduct risk assessments with business units to align policies with current operational processes.
  • Develop, modify, update, and implement policies, procedures, and guidelines to maintain an effective compliance program.
  • Engage with other departments and their leaders to ensure that all business operations are in line with applicable strategic priorities, policies, procedures, and regulatory requirements.
  • Proactively assess business activities to identify potential regulatory, compliance, and reputational risks.
  • Lead training initiatives and communications to promote a strong culture of compliance.
  • Utilize and manage existing technology solutions to meet compliance obligations.
  • Evaluate internal business systems to ensure adherence to industry regulations and ethical standards.
  • Establish and oversee control systems to effectively implement policies and procedures while complying with legal requirements.
  • Assist with general legal matters, including intellectual property, estates and trusts, and employment-related issues.
  • Manage relationships with external legal counsel and advisors to support the firm's objectives.
  • Provide guidance on relevant laws, rules, and regulations applicable to family office structures and operations.
  • Address ad-hoc legal inquiries from internal teams, including investment, finance, operations, and compliance, ensuring timely and cohesive legal considerations.
  • Maintain organized and accurate records of investment formation documents and other legal materials.

QUALIFICATIONS

  • Bachelor's degree in business or a related field.
  • Juris Doctor (J.D.) degree from an accredited law school and active bar membership, preferably in Illinois.
  • 4+ years of legal experience in corporate law, private equity, and family offices, ideally acquired within a large law firm environment.
  • Comprehensive knowledge of federal securities laws, with a demonstrated understanding of the Investment Advisers Act of 1940, and relevant industry standards and regulations, particularly as they pertain to family offices.
  • Exceptional written, oral, and presentation skills, with experience in simplifying complex technical issues for executive audiences.
  • Strong research, drafting, and negotiation abilities, with meticulous attention to detail.
  • Proven capability to manage multiple projects concurrently and meet deadlines.
  • Ability to work both independently and collaboratively in a fast-paced environment, critically assessing complex issues and articulating solutions.
  • Excellent interpersonal skills with the ability to influence and negotiate with stakeholders.
  • Commitment to quality and attention to detail.
  • Proficiency in Microsoft Office applications (Word, Excel, PowerPoint, etc.).
