SUMMARY

Cedar Pine, LLC is in search of a skilled and diligent Legal Counsel Associate. The successful candidate will be pivotal in delivering strategic legal insights and support across a variety of legal and compliance issues to align with the organization's goals and the overarching vision of the family office. The ideal applicant will have a background in diverse legal disciplines, including securities regulations, compliance frameworks, intellectual property rights, employment legislation, and general corporate governance.

This role is essential for maintaining adherence to legal standards, regulations, and internal protocols. The Associate will also contribute to the enhancement and management of the compliance framework, perform audits, and provide counsel to foster a culture of ethics and compliance. Reporting directly to the General Counsel, this position presents a remarkable opportunity to make a significant impact within a vibrant and innovative organization.

KEY RESPONSIBILITIES

  • Perform comprehensive analysis, due diligence, and evaluation of prospective private investments.
  • Oversee the complete deal lifecycle, including negotiations and structuring, while liaising with external legal advisors and co-investors.
  • Work collaboratively with cross-functional teams and external consultants to ensure seamless transaction execution.
  • Draft, assess, and negotiate investment-related agreements, including non-disclosure agreements, partnership contracts, limited liability company agreements, offering memoranda, subscription documents, and investor correspondence.
  • Conduct risk evaluations with business units to align policies with operational practices.
  • Develop, revise, and implement policies, procedures, and guidelines to sustain an effective compliance program.
  • Engage with various departments to ensure alignment of business operations with strategic priorities, policies, and regulatory requirements.
  • Proactively assess business activities to identify potential regulatory, compliance, and reputational risks.
  • Lead training initiatives and communications to foster a strong compliance culture.
  • Utilize and manage existing technological solutions to meet compliance obligations.
  • Evaluate internal business systems to ensure adherence to industry regulations and ethical standards.
  • Establish and supervise control mechanisms to effectively implement policies and comply with legal mandates.
  • Assist with general legal matters, including intellectual property, estates and trusts, and employment issues.
  • Manage relationships with external legal advisors to support the firm's objectives.
  • Provide guidance on relevant laws, regulations, and compliance matters pertinent to family office operations.
  • Address ad-hoc legal inquiries from internal teams, including investment, finance, operations, and compliance, ensuring timely and cohesive legal support.
  • Maintain organized and accurate records of investment formation documents and other legal materials.

QUALIFICATIONS

  • Bachelor's degree in business or a related discipline.
  • Juris Doctor (J.D.) from an accredited law school and active bar membership, preferably in Illinois.
  • A minimum of 4 years of legal experience in corporate law, private equity, and family office environments, ideally acquired in a large law firm.
  • Comprehensive understanding of federal securities laws, with demonstrated expertise in the Investment Advisers Act of 1940 and relevant industry standards and regulations, particularly concerning family offices.
  • Exceptional written, verbal, and presentation skills, with experience in simplifying complex legal concepts for executive audiences.
  • Strong research, drafting, and negotiation capabilities, with meticulous attention to detail.
  • Proven ability to manage multiple projects concurrently and meet deadlines.
  • Capacity to work both independently and collaboratively in a fast-paced setting, with a critical understanding of complex issues and the ability to conceptualize and articulate solutions.
  • Excellent interpersonal skills, with the ability to influence and negotiate with stakeholders.
  • Commitment to quality and attention to detail.
  • Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, etc.).
