Legal Team Responsibilities
The Legal team at Alloy provides comprehensive legal support across various business units, including our in-house venture studio, 82VS, and its affiliates. Most legal work is conducted internally, with occasional assistance from external counsel. The team engages with all levels of the organization, from entry-level scientists to executive leadership.
Key Responsibilities
- Review, draft, and advise stakeholders on negotiations of Confidential Disclosure Agreements (CDAs), licensing agreements, service contracts, and materials transfer agreements with pharmaceutical and biotechnology companies, as well as research institutions.
- Assist in the drafting and negotiation of various vendor agreements.
- Engage in external business and corporate development discussions as necessary.
- Manage company records and maintain the document management system.
- Ensure compliance with contractual obligations for customers and vendors.
- Provide legal counsel to different Alloy business units (operations, HR, finance, R&D, etc.) as legal issues arise, ensuring adherence to applicable laws and company policies.
Qualifications
- Juris Doctor (JD) from an ABA-accredited law school.
- 3-5 years of relevant experience in a law firm or equivalent in-house experience within the pharmaceutical or biotechnology sector.
- Familiarity with various commercial contracts relevant to the biotech industry.
- Proven ability to prioritize and manage multiple tasks effectively, ensuring project completion.
- Excellent interpersonal, written, and verbal communication skills, with the capacity to convey complex legal concepts to non-legal professionals.
- Strong analytical and decision-making skills, balancing the company's risk profile.
- Ability to thrive in a fast-paced startup environment.
- Active law license in at least one U.S. jurisdiction.
