Key Responsibilities
  • Lead Strategic Transactions: Coordinate due diligence, draft term sheets, negotiate definitive agreements, manage closing processes, and implement post-closing controls for financing and fundraising efforts.
  • Scale Corporate Structure: Support the Gemini group's corporate structure, including capital contributions, equity awards, and required filings, audits, and returns.
  • Manage Projects: Effectively and collaboratively manage projects, building positive and influential relationships with Gemini Leadership and cross-functional partners.
  • Develop Strategic Approach: Work with the Chief Legal Officer and cross-functional teams to develop and implement a strategic approach to intellectual property management, focused on protecting technological innovations and maintaining competitive advantage.
  • Evaluate and Communicate Legal Risks: Collaborate with the Legal team to evaluate and communicate legal risks to internal stakeholders and external parties.
Requirements
  • JD Degree: Required.
  • 10+ Years of Relevant Experience: At a law firm or in-house, with a strong knowledge of and interest in disruptive technology or financial services.
