About the Job

We are seeking a skilled Senior Counsel to join our team in the Capital Markets area. The ideal candidate will have experience working with internal clients and stakeholders, particularly investment bankers, product teams, compliance, finance, etc. In this role, you will advise clients on legal matters related to investment grade bonds, preferred shares, liability management transactions, medium term notes and commercial paper. You will also assist in structuring transactions and drafting documentation, including purchase agreements, offering documents, comfort letters, legal opinions, indentures, registration rights agreements and related documents.

Compensation and Benefits

We offer a competitive salary of $220,000 - $320,000 per year, reflecting the importance of this role in supporting the growth and development of our clients' businesses. Key Responsibilities

As a Senior Counsel, you will be responsible for:

• Advising clients on legal matters related to investment grade bonds, preferred shares, liability management transactions, medium term notes and commercial paper
• Assisting in structuring transactions and drafting documentation, including purchase agreements, offering documents, comfort letters, legal opinions, indentures, registration rights agreements and related documents
• Managing external counsel to efficiently and cost-effectively manage the execution of large volumes of capital markets transactions
• Providing guidance on securities laws and regulations

Requirements

To be considered for this position, candidates must possess:

• A Juris Doctor (J.D.) degree from an accredited law school
• Approximately 10-15 years of experience working at a top-tier law firm in combination with an investment bank within the capital markets area
• Broad knowledge of various fixed income asset classes, including investment grade bonds, high yield bonds, asset-backed bonds, covered bonds, preferred shares, private placements of notes, liability management transactions, medium term notes, commercial paper, loans and municipal bonds
• Deep understanding of securities laws and regulations
• Strong communication and interpersonal skills, with the ability to work effectively with internal clients and stakeholders
