Position Overview: The Chief Legal Officer serves as the principal legal advisor and compliance leader for the organization, offering strategic guidance to the executive team and Board of Directors regarding the legal ramifications, risks, and strategies associated with the company's policies, initiatives, and operations. This role encompasses a wide range of legal services, including but not limited to technology transfer and licensing, corporate governance, compliance and risk management, and the formation of new ventures.

Key Responsibilities:
  • Provide expert legal counsel on a variety of issues including corporate collaboration, employment law, and complex contractual agreements.
  • Oversee compliance with relevant laws and regulations, ensuring the organization adheres to best practices in legal and ethical standards.
  • Manage relationships with external legal counsel and coordinate litigation strategies as necessary.
  • Facilitate the development of policies and procedures that mitigate legal risks and enhance operational efficiency.
  • Engage in negotiations and drafting of agreements with international partners and stakeholders.
Qualifications:
  • Juris Doctor degree from an accredited institution.
  • A minimum of 15 years of legal experience in a senior capacity within a corporate, governmental, or law firm setting, preferably in a scientific research environment.
  • Active membership in the Massachusetts Bar and a valid license to practice law in Massachusetts.
  • Exceptional analytical skills, sound judgment, and strong verbal and written communication abilities.
  • Comprehensive knowledge of contract, corporate, and intellectual property law, as well as familiarity with grant and funding regulations.
  • Demonstrated experience in technology transfer and intellectual property management.
  • Proven ability to foster trust and effective working relationships across various organizational levels.
  • Capacity to motivate teams and communicate transparently with diverse groups.
  • Strong ethical standards and the ability to provide candid legal opinions.
  • Proficiency in Microsoft Office Suite, DocuSign, and other electronic signature platforms.
  • Willingness to travel occasionally and work flexible hours as needed.
Preferred Experience:
  • Experience with both non-profit and for-profit organizational structures.
  • Knowledge of corporate governance, transactional law, and venture capital.
  • Familiarity with HIPAA regulations and data privacy issues.
