We are seeking a highly skilled Mergers and Acquisitions Specialist to join our team at Diedre Moire Corp. as an Insurance Transaction Risks Manager. As a key member of our underwriting team, you will be responsible for developing custom policies for buyers, sellers, and passive investors in the context of mergers and acquisitions.
Key Responsibilities- Review transaction agreements, financial statements, due diligence, non-reliance letters, operational risks, representations, and other relevant documents to identify potential risks and opportunities.
- Assess parties to the transaction, including owners, investors, attorneys, finance executives, and other stakeholders to understand their roles and responsibilities.
- Identify anomalous risks such as changing technology and market forces, political, environmental, tax, and regulatory risks, and develop strategies to mitigate them.
- Negotiate escrow, indemnity, limit, retention, pricing, claims period, and other terms of the insurance policy with clients and other stakeholders.
- Establish deductibles and specify definitions and subrogation clauses in the insurance policy.
- Draft proposals and policy terms that meet the needs of clients and other stakeholders.
- Bind policies and ensure that all necessary documentation is completed.
- 5-10 years of experience in mergers and acquisitions, risk management, insurance underwriting, or a related field.
- Strong knowledge of insurance policies, risk management strategies, and mergers and acquisitions processes.
- Excellent communication and negotiation skills, with the ability to work with clients, attorneys, finance executives, and other stakeholders.
- Ability to analyze complex data and identify potential risks and opportunities.
- Strong problem-solving skills, with the ability to develop creative solutions to complex problems.
- Exceptional compensation package, including a salary range of $250,000 to $400,000 and annual bonus potential.
