Job Description

**Job Summary**

We are seeking a highly skilled Corporate Business Attorney to join our team at Virtual Staffing Inc. (DBA Legal Soft). As a key member of our legal department, you will provide comprehensive legal support to our company, ensuring compliance with corporate laws and regulations and facilitating smooth business operations.

Key Responsibilities

  1. Corporate Governance
  • Advise on corporate structure and governance matters, ensuring alignment with our company's strategic objectives.
  • Draft, review, and amend corporate bylaws, policies, and procedures to ensure compliance with relevant laws and regulations.
  • Ensure compliance with state and federal corporate laws and regulations, mitigating potential risks and liabilities.
  • Prepare and file necessary corporate documentation, including articles of incorporation, annual reports, and board resolutions.
Mergers and Acquisitions (M&A)
  • Lead legal due diligence for potential mergers, acquisitions, and other strategic transactions, ensuring a thorough understanding of the deal's legal implications.
  • Draft and negotiate transaction documents, including purchase agreements, merger agreements, and ancillary documents, to optimize legal and business outcomes.
  • Advise on structuring and negotiating M&A transactions, leveraging your expertise to drive business growth and minimize risks.
  • Coordinate with financial advisors, accountants, and other stakeholders to facilitate transactions and ensure a seamless integration process.
Contracts and Agreements
  • Draft, review, and negotiate a wide range of commercial contracts, including vendor agreements, client contracts, confidentiality agreements, and licensing agreements, to protect our company's interests.
  • Ensure that all contracts comply with applicable laws and regulations, mitigating potential risks and liabilities.
  • Provide ongoing legal support and advice regarding contract interpretation, enforcement, and dispute resolution, ensuring a proactive approach to contract management.
Compliance and Risk Management
  • Develop and implement compliance programs to mitigate legal risks, ensuring a robust and effective compliance framework.
  • Conduct regular audits and risk assessments to ensure adherence to legal and regulatory requirements, identifying areas for improvement and implementing corrective actions.
  • Advise on potential legal issues related to business operations, providing proactive risk management strategies to minimize potential risks and liabilities.
  • Handle internal and external legal investigations and audits, ensuring a thorough and transparent approach to compliance.
Intellectual Property
  • Manage the company's intellectual property portfolio, including patents, trademarks, and copyrights, to protect our brand and intellectual assets.
  • Advise on intellectual property strategy and protection, ensuring a robust and effective IP management framework.
  • Handle IP-related disputes, including infringement claims and licensing issues, to minimize potential risks and liabilities.
Employment Law
  • Advise on employment-related legal matters, including hiring practices, employee relations, terminations, and compliance with labor laws, to ensure a fair and compliant employment environment.
  • Draft and review employment contracts, non-compete agreements, and employee handbooks, to protect our company's interests and ensure compliance with relevant laws and regulations.
  • Address employment disputes and represent the company in employment litigation as needed, to minimize potential risks and liabilities.
Litigation Management
  • Oversee and manage outside counsel handling litigation and disputes, ensuring a proactive and effective approach to litigation management.
  • Develop litigation strategies and manage legal budgets, to optimize legal outcomes and minimize costs.
  • Represent the company in mediations, arbitrations, and court proceedings as necessary, to resolve disputes and minimize potential risks and liabilities.

Required Qualifications

  • Education: Juris Doctor (JD) degree from an accredited law school.
  • Licensure: Admission to the California State Bar.
  • Experience: Minimum of 2-4 years of corporate law experience, preferably in a law firm or in-house legal department.
  • Skills:
    • Strong knowledge of corporate law, contract law, and regulatory compliance.
    • Excellent negotiation and drafting skills.
    • Effective communication and interpersonal skills.
    • Strong analytical and problem-solving abilities.
    • Ability to manage multiple projects and work under pressure.
