Position Summary
We are in search of a seasoned corporate transactional attorney to become a key member of our Global Legal and Compliance ("GLC") Team, serving as Senior Legal Counsel or Assistant General Counsel focused on M&A and Business Development. This position will be instrumental in supporting M&A and Business Development initiatives across North America and Europe.

Key Responsibilities
- Lead, coordinate, and manage acquisition and divestiture activities, including the drafting and negotiation of letters of intent, term sheets, purchase agreements (asset, stock, merger, etc.), licensing agreements, development agreements, and collaboration agreements.
- Identify and resolve intricate legal issues that may arise in M&A and licensing transactions.
- Provide counsel to senior management and cross-functional teams regarding legal and commercial matters related to transactions.
- Drive comprehensive due diligence processes, collaborating with external legal advisors to identify, assess, and communicate legal and deal risks while implementing effective risk mitigation strategies.
- Advise on the planning and execution of integration strategies.
- Collaborate with internal teams of subject matter experts, including finance, intellectual property, tax, human resources, compliance, data privacy, and more.
- Work with the Global Legal and Compliance Department to enhance and refine processes.
- Proactively identify opportunities for legal and business teams.
- Deliver clear and concise legal advice to internal stakeholders.
- Offer innovative solutions in complex legal and business areas.
- Mentor and guide colleagues.

Travel Requirement
Approximately 20%

Qualifications
- Juris Doctor degree from an accredited law school in the United States; must be a member of at least one state bar in good standing.
- Minimum of 5 to 8 years of experience as an attorney in a law firm and/or in-house with a life sciences organization.
- Significant experience in mergers and acquisitions transactions is essential.
- Extensive experience in drafting and negotiating complex pharmaceutical licensing and collaboration agreements is required.
- Proven ability to manage and lead transaction teams.
- Experience in the life sciences sector is a considerable advantage.
- Excellent legal analytical skills and effective communication abilities.
- Capacity to thrive in a fast-paced environment, meet tight deadlines, and make decisive actions.
- Familiarity with specialized subjects relevant to transactional matters, including securities laws, tax, intellectual property, antitrust, employment, data privacy, regulatory issues, and technology.
- Must be a U.S. citizen or lawful permanent resident authorized to work in the U.S. without requiring sponsorship now or in the future.
