Position Overview
We are in search of a seasoned corporate transactional attorney to join our Global Legal and Compliance ("GLC") Team as a Senior Legal Counsel or Assistant General Counsel focused on M&A and Business Development. This pivotal role will support M&A and Business Development initiatives across North America and Europe.
Key Responsibilities
As part of your role, you will:
1. Lead, coordinate, and manage acquisition and divestiture transactions, including drafting and negotiating letters of intent, term sheets, purchase agreements (asset, stock, merger, etc.), license agreements, and collaboration agreements.
2. Identify and resolve intricate legal issues arising in M&A and licensing matters.
3. Advise senior management and cross-functional teams on legal and commercial matters related to transactions.
4. Drive comprehensive due diligence processes, collaborating with external legal support to identify, assess, and communicate legal and deal risks while implementing effective risk mitigation strategies.
5. Provide guidance on the planning and execution of integration strategies.
6. Collaborate with internal teams of subject matter experts, including finance, IP, tax, HR, compliance, and data privacy.
7. Work alongside the Global Legal and Compliance Department to enhance processes.
8. Proactively identify opportunities for legal and business teams.
9. Deliver clear and concise advice to internal stakeholders.
10. Offer innovative solutions in complex legal and business areas.
11. Mentor colleagues within the team.
Work Environment
This position operates in a hybrid capacity, requiring three days onsite and two days remote.
Travel Requirements
Approximately 20% travel may be necessary.
Qualifications
- Juris Doctor degree from an accredited law school in the United States; must be a member of at least one state bar in good standing.
- Minimum of 5 to 8 years of experience as an attorney in a law firm and/or in-house within a life sciences organization.
- Significant experience in mergers and acquisitions transactions is essential.
- Extensive background in drafting and negotiating complex pharmaceutical licensing and collaboration agreements is required.
- Proven ability to manage and lead transaction teams.
- Life sciences experience is a considerable advantage.
- Excellent legal analytical skills and effective communication abilities are necessary.
- Capacity to thrive in a fast-paced environment, meet stringent deadlines, and make decisive actions.
- Familiarity with specialized subjects relevant to transactional matters, including securities laws, tax, IP, antitrust, employment, data privacy, regulatory, and technology is preferred.
- Must be a U.S. citizen or lawful permanent resident of the U.S. or otherwise authorized to work in the U.S. without requiring sponsorship now or in the future.
