Position Summary

KNM Resources is seeking a highly qualified Attorney specializing in Corporate and Securities law for a Senior Counsel role with our publicly traded client. The ideal candidate will possess a unique combination of experience from both law firms and corporate environments. This position will entail providing strategic direction on corporate and securities issues in accordance with SEC and Exchange regulations.

Key Responsibilities

  • Offer expert guidance on matters related to public companies.
  • Ensure adherence to federal and state securities regulations.
  • Draft and evaluate SEC submissions, including annual and quarterly reports as well as proxy statements.
  • Possess a solid understanding of corporate governance standards.
  • Prepare and assess documentation for board and committee meetings.
  • Organize and prepare for the annual stockholder meeting and shareholder interactions.
  • Provide counsel on press releases, earnings announcements, and investor presentations.
  • Support Investor Relations, Finance, Accounting, and Tax departments.
  • Assist in due diligence processes and capital markets transactions.

Qualifications

  • Juris Doctorate with strong academic achievements.
  • 8+ years of experience in a well-regarded law firm along with in-house corporate legal exposure.
  • Thorough knowledge of public company disclosure and reporting obligations.
  • Experience across a diverse range of securities and financial transactions.
  • Proven analytical and problem-solving capabilities.
