Position Overview

Reporting directly to the General Counsel, the Associate General Counsel will collaborate with Maesa's executive and senior management teams on critical strategic issues that underpin the company's growth trajectory. This role encompasses comprehensive legal support for strategic initiatives, including mergers and acquisitions, strategic investments, joint ventures, and other significant corporate transactions. The Associate General Counsel will oversee execution, negotiation of documents, legal due diligence, and various facets of transactional processes.

Key Responsibilities

  • Assist the General Counsel in managing the overall legal, corporate, and compliance functions.
  • Work closely with senior management to address the legal and business requirements of the organization.
  • Provide legal expertise on acquisitions, joint ventures, and other strategic transactions, including conducting due diligence and drafting transaction documents.
  • Negotiate and draft various agreements, including manufacturing contracts, purchase agreements, non-disclosure agreements, and shareholder agreements.
  • Advise on risk assessment and mitigation strategies.
  • Support compliance-related matters.

Qualifications

  • At least 10 years of experience in M&A and general corporate law, ideally within both a law firm and a multinational corporation.
  • Proven experience in M&A transactions and project leadership.
  • Demonstrated ability to cultivate and lead a high-performing legal team.
  • Exceptional time management and organizational skills, with the capacity to prioritize multiple projects.
  • Experience in international markets is advantageous.
  • Strong legal and business judgment with a focus on developing proactive and innovative solutions.
  • Ability to engage and influence colleagues and stakeholders across various levels of seniority.
  • A proactive, collaborative, and results-oriented mindset that aligns with Maesa's core values.

Compensation and Benefits

The compensation for this role ranges from $225,000 to $300,000 annually, with variations based on skills, experience, and location. This position is eligible for a discretionary bonus plan tied to individual and company performance.
