Position Overview
The Associate General Counsel will report directly to the General Counsel and collaborate closely with executive and senior management on critical strategic matters essential for the company’s growth trajectory. This role will encompass comprehensive legal support for key initiatives, including mergers and acquisitions, strategic investments, joint ventures, and other significant corporate transactions. The successful candidate will oversee the execution, negotiation, and legal due diligence associated with these transactions.
Key Responsibilities
- Assist the General Counsel in managing the overall legal, corporate, and compliance functions.
- Work in partnership with senior management to address the legal and business requirements of the organization.
- Provide legal guidance on acquisitions, joint ventures, and other strategic transactions, including conducting thorough due diligence and drafting necessary documentation.
- Negotiate and draft various agreements, including manufacturing contracts, purchase agreements, non-disclosure agreements, and shareholder agreements.
- Advise on risk assessment strategies and compliance matters.
Qualifications
- At least 10 years of experience in M&A and corporate law, ideally with experience in both a law firm and a multinational corporation.
- Proven track record in managing M&A transactions and leading legal projects.
- Ability to cultivate and lead a high-performing legal team.
- Exceptional time management and organizational skills, with the capacity to prioritize multiple projects effectively.
- Experience in international markets is advantageous.
- Strong legal and business judgment, with a focus on developing proactive and innovative solutions.
- Ability to engage and influence stakeholders across various levels and functions.
- A collaborative and results-oriented approach, aligned with Maesa's core values.
Compensation and Benefits
The compensation for this role ranges from $225,000 to $300,000 annually, commensurate with experience and skills. This position is also eligible for a discretionary bonus based on individual and company performance. Maesa provides a comprehensive benefits package, including health insurance, wellness programs, life and disability insurance, and retirement savings plans.
