The Corporate Counsel, as part of PAGNY's Office of the General Counsel, will be tasked with evaluating, overseeing, and providing guidance on corporate matters, contractual agreements, and employment-related issues for the organization.

Key Responsibilities:

  • Deliver strategic and legal counsel to management and leadership on employment, corporate, and healthcare law matters.
  • Assist in the legal assessment of initiatives within the Office of the General Counsel.
  • Draft, negotiate, and finalize legal contracts between the organization and external service providers.
  • Prepare memoranda of understanding, position statements, policies and procedures, meeting minutes, resolutions, and various corporate documents.
  • Conduct internal investigations regarding employee-related matters and disputes.
  • Advise the Human Resources Department on employment and labor-related issues that may arise.
  • Develop and facilitate in-house training programs in collaboration with the Human Resources Department.
  • Provide proactive guidance to minimize risk and liability for the organization.
  • Oversee the activities of retained external legal counsel.
  • Perform other duties as required for the role of Corporate Counsel.
  • On-site presence required five days a week.

Qualifications:

  • Juris Doctor degree from an accredited law institution.
  • Licensed and authorized to practice law in New York State.
  • A minimum of seven years of relevant, progressive legal experience is required.
  • In-house legal experience is essential.
  • Knowledge of employment law and familiarity with applicable federal and state regulations is required.
  • Understanding of healthcare law, particularly related to Stark, anti-kickback, and fraud and abuse regulations, is necessary.
  • Experience in unionized healthcare settings is preferred.
  • Ability to work independently with minimal oversight and address a variety of legal challenges.

The ideal candidate will possess the ability to quickly grasp complex issues and think strategically while maintaining attention to detail. They should thrive under pressure, manage multiple priorities effectively, and exhibit excellent interpersonal, verbal, and written communication skills. A strong academic background, along with exceptional analytical and advisory capabilities, is essential. The candidate should demonstrate sound judgment and discretion, taking an active role within a small yet dynamic Legal Department.
