About the Role:

Diedre Moire Corp. is seeking an experienced Mergers and Acquisitions Attorney to join our team. As a key member of our corporate transactional group, you will be responsible for performing contractual and financial evaluations for companies involved in M&A deals.

Key Responsibilities:

  • Assess accuracy of statements and assurances in the representations and warranties from sellers in mergers and acquisitions transactions.
  • Perform contractual and financial evaluations for companies involved in M&A deals in order to assess acceptable Representations and Warranties Insurance coverage.
  • Provide transactional risk insurance.
  • Review, evaluate and present analysis of due diligence procedures, operational risks and potential red flags of mergers and acquisitions deals.

Requirements:

  • Juris Doctor (J.D.) and 4+ years of mergers and acquisitions experience, insurance industry experience preferred.
  • Strong familiarity with preparing and reviewing engagement letters, confidentiality agreements, indemnification provisions and risk management analyses.
