About the Role:
We are looking for a Vice President, Litigation and Contracts Counsel to become a vital part of our Legal Department. This position is perfect for a legal expert with at least 4 years of experience in contract law and some background in litigation. The role encompasses both litigation and contract law duties, necessitating an individual capable of handling intricate cases and diverse contractual agreements. The position is based in Los Angeles, California, with a hybrid work arrangement of 4 days in the office each month.
Key Responsibilities:
- Contract Management: Draft, negotiate, review, and oversee a broad spectrum of contracts, including Master Service Agreements, real estate contracts, vendor agreements, and more. Ensure compliance with applicable legal and regulatory standards while supporting third-party contract evaluations.
- Litigation: Act as the company’s representative in arbitration and court proceedings, managing cases from initiation through resolution or trial. Provide legal guidance in white-collar crime defense and collaborate with the Compliance Department on strategies to prevent litigation.
- Advisory Role: Offer daily legal counsel to business teams on various issues, including disputes and contract-related matters. Provide strategic insights on arbitration cases and ensure adherence to U.S. legal standards.
- Collaboration: Engage directly with business clients to gain a comprehensive understanding of their operations and products. Work alongside other legal professionals and business partners to deliver strategic legal advice and oversee legal proceedings, including negotiations.
- Leadership: Independently manage your own cases, supervise outside counsel when necessary, and guide paralegals in litigation tasks and document requests.
- Documentation: Prepare essential business and corporate transaction documents, maintain and update contract templates, and support contract-related initiatives, including internal process assessments.
- Generalist Approach: Contribute to the legal department's broad-based approach, providing support across various legal disciplines as required.
Required Experience:
- Bachelor's Degree from an accredited institution.
- Strong academic background, including a J.D. and a valid license to practice law in California.
- A minimum of 4 years of experience in contract law, with familiarity in MSAs and vendor agreements.
- Some litigation experience is preferred.
- Knowledge of SEC regulations and a desire to expand understanding of FINRA and trading licenses.
- Experience in the financial services industry is highly desirable.
- Proven ability to lead cases independently, without relying solely on external counsel.
- Exceptional communication skills, both written and verbal, with meticulous attention to detail.
- Strong interpersonal abilities, capable of effective communication across all organizational levels.
