Position Overview

The Ladders is in search of a seasoned advisor to evaluate loan applications. This role involves providing insights on market, financial, and regulatory elements related to the underwriting, structuring, negotiation, and finalization of loan agreements.
  • Deliver expert, unbiased assessments regarding the viability and achievability of proposed business plans.
  • Examine the sponsor's business strategy and financial models, producing an independent credit risk evaluation of the overall transaction.
  • Collaborate closely with The Ladders' staff and appointed advisors, as well as the sponsor's financial and technical consultants, to validate inputs for analytical tasks.
  • Advisory services will be required from the initiation of the due diligence process through to the negotiation of commercial terms and the financial closure, including a monitoring phase that may extend for 12 to 18 months.
  • Provide professional judgment on the project's financial expectations, ensuring that underlying assumptions are realistic based on historical, current, and anticipated future market conditions.
Key Responsibilities

Conduct a thorough analysis of the automotive sector and the specific market niche in which the project intends to operate. This analysis should encompass sustainable competitiveness, entry barriers, and the risks posed by substitute products or technologies. The market review will include:

Inputs Review: Assess relevant project input markets and evaluate the project’s strategy for securing sufficient supply, focusing on:
  • Price assessment - methodology, incentive pricing, long-term forecasts
  • Market assessment - supply and demand dynamics, current and future cost structures
  • Market size and long-term supply/demand projections
  • Assessment of green/brownfield projects and start-up manufacturers
Outputs Review: Analyze the relevant project output market, specifically:
  • Overview of industry structure and supply chain
  • Price assessment - basis of current market pricing and long-term forecasts
  • Cost profile - comparison of costs against competitors
  • Market assessment - current and future supply and demand forecasts
  • Product assessment - quality and market positioning
  • Strengths and weaknesses analysis relative to North American and global production
  • Risks associated with substitution
  • Analysis of major industry players and their competitive standing
  • Evaluation of marketing strategies
  • Risks related to technology and substitution
Price Forecasts: Develop and present lender base case price forecasts for key inputs and outputs, including sensitivity analyses for lender models.

Financial Advisory Duties:
  • Validate the financial model, ensuring accuracy and alignment with project contracts and industry standards.
  • Update the sponsor's financial model with lender base case terms and assumptions.
  • Model stress scenarios to test project cash flow resilience against variable changes.
  • Support financial model operations and updates during due diligence and loan documentation phases.
  • Produce reports and visualizations to inform and advise on financial model outputs.
Business Plan and Contracts:
  • Review the business plan for financial reasonableness and alignment with the financial model.
  • Verify financial data and forecasts against key contract terms.
  • Evaluate the project's financial structure against industry norms.
  • Review contracts for accuracy and consistency with the financial model.
  • Provide recommendations on project viability.
Metrics, Risks, and Mitigants:
  • Identify and assess financial risks within the project.
  • Propose mitigants for identified financial risks.
  • Recommend financial and technical metrics for future collateral release conditions.
Negotiations and Approval:
  • Assist in loan negotiations by evaluating financial impacts and recommending terms that mitigate lender risk.
  • Incorporate negotiated terms into the financial model for approval.
  • Support preparation of credit approval documentation.
  • Evaluate the business impacts of proposed loan terms.
Financial Close:
  • Review financial terms in loan documents for consistency with agreements.
  • Update the financial model to reflect negotiated terms and assumptions.
  • Prepare reports as needed for monitoring and compliance.
Monitoring Phase:

For a period of 12 months following financial closure, the advisor will:
  • Support adaptation of the financial model for monitoring purposes.
  • Review financial and commercial contract terms for consistency.
  • Assist in evaluating new financial impacts during negotiations.
  • Provide ongoing monitoring support and updates as necessary.
Qualifications
  • Extensive experience in advising lenders on senior debt and commercial transactions.
  • Proven track record in conducting assessments and producing reports identifying market risks.
  • Relevant experience in evaluating business plans and commercial feasibility in financing contexts.
