We are seeking a highly skilled Mergers and Acquisitions Associate to join our team at Baker McKenzie. As a key member of our corporate transactional group, you will play a critical role in advising clients on complex M&A transactions, including drafting purchase agreements and definitive transaction documentation.
Key Responsibilities- Assist in the preparation and negotiation of M&A agreements, including purchase agreements and definitive transaction documentation.
- Conduct due diligence and corporate approval processes for public and private company targets.
- Advise on M&A-related securities matters and prepare M&A-related securities filings.
- Collaborate with cross-border teams to anticipate and resolve issues in multiple jurisdictions.
- Manage the work of junior level associates on deals.
- 3-4 years of experience in M&A transactions, including drafting and negotiating agreements.
- Strong academic credentials and excellent communication, analytical, and writing skills.
- Significant M&A transactional work experience at a major firm or extensive second chair experience on smaller transactions.
- Familiarity with managing the work of junior level associates on deals.
- Admitted to and a member in good standing of the Texas Bar or eligible to waive in.
