Position Overview

As the Senior Corporate Counsel at Moxion Power, you will be responsible for delivering legal expertise and support concerning corporate governance, business operations, transactions, contracts, and compliance matters. The ideal candidate will possess a robust background in corporate law, particularly with companies experiencing rapid growth. This position reports directly to the Chief Legal Officer, who in turn reports to the CEO.

Key Responsibilities:

  • Provide comprehensive support on various corporate matters, including governance initiatives, strategic transactions, securities compliance, and other corporate issues.
  • Assist in corporate governance activities, including the drafting and implementation of policies, Board engagement, and advising on Moxion's governance framework.
  • Oversee entity management, equity compensation, and other corporate-related matters pertinent to Moxion's domestic growth strategies.
  • Lead and support strategic transactions, encompassing mergers and acquisitions, fundraising efforts, and other business dealings.
  • Develop and refine processes to scale legal support for general corporate matters, including compliance with securities laws, subsidiary management, and equity-related issues.
  • Offer legal counsel on various aspects of the company's operations, including employment law, intellectual property, and occasionally real estate matters.
  • Collaborate with cross-functional teams, including finance, operations, and business development, to ensure legal compliance and effective risk management across all business areas, including Supply Chain and Manufacturing.

Qualifications:

  • Juris Doctor degree from an accredited law school and a valid license to practice in California.
  • Experience in a fast-paced technology company or a technology-focused law firm, with a preference for candidates with a background in Clean Tech or Renewable Energy.
  • Familiarity with venture capital financing, mergers and acquisitions, due diligence, and deal structuring; experience with IPOs is a plus.
  • A strong sense of ownership, curiosity, and enthusiasm for technology.
  • A willingness to embrace challenges and demonstrate sound judgment in ambiguous situations.
  • Exceptional negotiation and contract drafting abilities.
  • Excellent communication and interpersonal skills.
  • Proven ability to work effectively with cross-functional teams.
  • Capability to manage multiple projects and prioritize competing demands.
