Position Overview

As the Corporate Counsel at Moxion Power, you will deliver legal expertise and support concerning corporate governance, business operations, transactions, contracts, and compliance. The ideal candidate will possess a robust background in corporate law and experience with rapidly growing companies. This position reports to the Chief Legal Officer, who has direct accountability to the CEO.

Key Responsibilities:

  • Provide comprehensive support on various corporate matters, including governance initiatives, strategic transactions, securities compliance, and other corporate issues.
  • Assist in corporate governance activities, including the drafting and implementation of policies, Board engagement, and advisory services related to Moxion's governance framework.
  • Oversee entity management, equity compensation, and other corporate-related issues tied to Moxion's domestic growth strategies.
  • Lead and support strategic transactions, encompassing mergers and acquisitions, fundraising, and other relevant dealings.
  • Develop and implement processes to scale legal support for general corporate matters, including compliance with securities laws, subsidiary management, and equity-related issues.
  • Offer legal guidance on various aspects of the company's operations, including employment law, intellectual property, and occasionally real estate matters.
  • Collaborate with cross-functional teams, including finance, operations, and business development, to ensure legal compliance and effective risk management across all business areas, including Supply Chain and Manufacturing.

Qualifications:

  • Juris Doctor degree from an accredited law school with a valid license to practice in California.
  • Experience in a fast-paced technology environment and/or a technology-focused law firm (experience in Clean Tech or Renewable Energy is a plus).
  • Familiarity with venture capital financing, mergers and acquisitions, due diligence, and deal structuring. Experience with IPOs is advantageous.
  • Strong sense of ownership, curiosity, and enthusiasm for technology.
  • Aptitude for handling challenges and demonstrating sound judgment in ambiguous situations.
  • Proficient negotiation and contract drafting abilities.
  • Exceptional communication and interpersonal skills.
  • Capability to work effectively with cross-functional teams.
  • Ability to manage multiple projects and prioritize competing demands.
