Position Overview:
We are in search of a driven and skilled Corporate Associate Attorney. The successful candidate will possess a minimum of 3 years of expertise in corporate law, particularly in the areas of securities and mergers and acquisitions (M&A). This position presents a remarkable opportunity to engage in intricate transactions and play a vital role in a thriving practice.
Primary Responsibilities:
- Mergers and Acquisitions: Provide strategic advice on M&A deals, encompassing due diligence, drafting and negotiating purchase agreements, and managing closing and post-closing activities.
- Securities: Offer guidance on securities offerings, including private placements, public offerings, and adherence to securities regulations.
- Corporate Governance: Counsel clients on corporate governance issues, including the drafting and evaluation of corporate documents such as bylaws, operating agreements, and shareholder agreements.
- Transactional Work: Oversee a diverse array of corporate transactions, including equity and debt financing, joint ventures, and strategic partnerships.
- Client Relations: Cultivate and maintain client relationships, delivering proactive legal counsel and ensuring the highest standards of client satisfaction.
Qualifications:
- Juris Doctor (JD) degree from an accredited law institution.
- A minimum of 3 years of experience in corporate law, with substantial exposure to securities and M&A.
- In-depth knowledge of securities laws and regulations, including familiarity with the SEC and related filings.
- Proven ability to manage multiple projects and clients concurrently.
- Exceptional analytical, communication, and negotiation skills.
