Job Summary

We are seeking a highly skilled and experienced Corporate Counsel to lead our corporate strategic and tactical legal initiatives. The ideal candidate will provide senior management with effective advice on company strategies and their implementation, manage the legal function, and oversee the work of outside counsel.

Key Responsibilities
  • Participate in the definition and development of corporate policies, procedures, and programs, providing continuing counsel and guidance on legal matters and implications.
  • Serve as key lawyer/legal advisor on major business transactions, including complex design-build projects, divestitures, and joint ventures.
  • Judge the merits of major court cases filed against or on behalf of the company, working with executive(s) to define a strategic defense and approve settlements of disputes where warranted.
  • Assume ultimate responsibility for ensuring SCS conducts its business in compliance with applicable SEC, et. al. laws and regulations.
  • Selection, retention, management, and evaluation of outside counsel.
  • Advise on legal aspects of business structures and legal entities.
Requirements
  • Law Degree and admission to practice.
  • Minimum of ten years of experience in the practice of law, including private practice and in-house experience. Litigation experience desired.
  • Ability to communicate effectively with a variety of contacts, including outside attorneys, senior management, and business associates.
  • Knowledge of intellectual property law, including patent and copyright law.
  • Experience managing other attorneys and supervising support staff, as well as experience with cost-effective management of outside legal resources.
