Job Overview

We are seeking an experienced Corporate Risk Management Underwriter to join our team in Richmond, VA. This role will involve developing custom policies for buyers, sellers, and passive investors to mitigate risk in M&A transactions.

Responsibilities
  • Work closely with owners, investors, attorneys, finance executives, and other stakeholders on projects.
  • Review transaction agreements, financial statements, due diligence reports, non-reliance letters, operational risks, representations, and warranties.
  • Assess parties involved in the transaction and identify potential risks.
  • Negotiate escrow, indemnity, limit, retention, pricing, claims period, and other policy terms.
  • Establish deductibles and specify definitions and subrogation clauses.
  • Draft proposals and policy terms.
  • Bind policies.
Typical Risks Covered
  • Unintentional and unknown breaches of representations and warranties made in an acquisition or merger agreement.
  • Breach of covenants and special indemnities.
  • Political, environmental, regulatory, tax, and other issues related to M&A transactions.
Requirements

To be successful in this role, you should have at least 5-10 years of experience in M&A risk management underwriting, including experience working with attorneys, finance executives, and other stakeholders. A Bachelor's degree is required, and a JD, CPA, MBA, or other relevant certifications are highly valued.
