The Legal Advisor for Venture Capital Investments will play a crucial role in delivering extensive legal guidance for the organization's investment endeavors. This position encompasses advising on a diverse array of legal issues associated with venture capital dealings, such as investment structuring, adherence to regulations, and management of portfolio companies. The ideal candidate will possess a robust background in venture capital or private equity law, along with a demonstrated history of navigating intricate legal challenges in a dynamic investment environment.
Primary Responsibilities:
- Investment Agreements: Draft, negotiate, and assess investment contracts, including term sheets, subscription documents, and shareholder agreements. Ensure that all investment activities align with relevant laws and regulations.
- Legal Due Diligence: Perform legal due diligence on prospective investment opportunities, including evaluating company formation documents, intellectual property assets, and contractual commitments.
- Compliance Advisory: Provide counsel on regulatory obligations and compliance issues pertinent to venture capital investments, encompassing securities regulations, anti-money laundering laws, and data privacy regulations.
- Ongoing Legal Support: Offer continuous legal assistance to portfolio companies, advising on matters related to corporate governance, employment law, and intellectual property rights.
- Conflict Resolution: Oversee and resolve legal disputes that may arise with portfolio entities, investors, or other stakeholders.
- Strategic Legal Planning: Formulate and execute legal strategies that are in harmony with the organization's investment goals and risk management protocols.
- Team Collaboration: Collaborate closely with internal teams, including investment professionals and executives, as well as external legal advisors, to ensure smooth execution of investment transactions and legal compliance.
Qualifications:
- Juris Doctor (JD) degree from an accredited law institution and bar admission in the relevant jurisdiction.
- A minimum of 5-8 years of experience as legal counsel in venture capital, private equity, or a related sector.
- Comprehensive understanding of venture capital transactions, securities regulations, and compliance requirements.
- Exceptional negotiation, drafting, and analytical capabilities, with a proven ability to manage complex legal matters effectively.
- Demonstrated capacity to work autonomously and prioritize multiple tasks in a fast-paced setting.
- Outstanding communication skills, with the ability to articulate legal concepts clearly to non-legal professionals.
- Experience with startups and high-growth enterprises is highly preferred.
