Corporate Counsel - Legal & Compliance General Purpose : Provides legal advice to internal clients on a variety of matters with a focus on commercial contracts, including engagement letters, NDAs, vendor agreements, RFPs, MSAs, and other legal documents. Ideal candidate has experience in a corporate legal department of a professional services firm. Primary Responsibilities : Prepare, review, edit, negotiate, and manage a wide variety of commercial agreements, including engagement letters, confidentiality agreements, consulting agreements, referral agreements, vendor agreements, independent contractor agreements, MSAs, and other related legal documents Provide proactive and practical legal advice to internal clients, including investment banking professionals Coordinating with Compliance to ensure policies and procedures reflect best practices Assist with maintenance of template agreements Provide interpretation of contract and policy language with the goal of maintaining a nimble and responsive approach to managing risk within a scaling organization. Work collaboratively across teams (i.e. Client Services, IT, Finance, HR, etc.) Other duties and responsibilities as deemed necessary Knowledge, Skills & Abilities : Experience with drafting, reviewing and negotiating commercial contracts required Experience in data privacy, government contracting, and real estate leases preferred Must have high degree of accountability, the ability to multi-task, work well under pressure, change priorities as required, and meet deadlines Must have strong listening, verbal and written communication skills Must be well organized with a strong attention to detail Must be team oriented with the ability to build positive relationships Education and/or Training : J.D. from ABA accredited law school with active membership in at least one U.S. state bar 5+ years of in house or law firm experience with corporate, transactional, contract focus Past work experience in a professional services organization is preferred Must be qualified to work in the U.S. without employer sponsorship #LI-CM1 Why Stout?
