Position Overview:

As a Senior Corporate Counsel, you will play a pivotal role in providing comprehensive legal support for corporate governance, mergers and acquisitions (M&As), and board matters. Your expertise in corporate law and your ability to navigate complex legal issues will be crucial in ensuring that our business operations are compliant with relevant regulations and strategic goals. You will also be expected to contribute to other general legal matters including contract negotiation and review, and compliance.


Key Responsibilities:

- Corporate Governance: Advise on corporate governance matters, including compliance with corporate laws and regulations, board of directors' duties, and shareholder relations.

- Mergers & Acquisitions: Lead and support M&A transactions, including due diligence, drafting and negotiating agreements, and coordinating with external advisors.

- Board Matters: Assist in preparing materials for board meetings, ensuring adherence to legal and regulatory requirements, and providing strategic advice to board members.

- Contract Management: Review, draft, and negotiate various contracts and agreements, including partnership agreements, supply agreements, and other corporate documents.

- Legal Compliance: Monitor and ensure compliance with applicable laws and regulations, including securities laws, antitrust laws, and industry-specific regulations.

- Risk Management: Identify and assess legal risks and provide practical solutions to mitigate potential issues affecting the company.

- Internal Collaboration: Work closely with internal stakeholders, including senior management and various departments, to provide legal guidance and support on corporate matters.

- Legal Research and Analysis: Stay informed about changes in relevant laws and regulations, and provide updates and recommendations to the company.


Qualifications:

- Education: Juris Doctor (JD) degree from a well-regarded law school.

- Experience: 5-10 years of experience in general corporate law (including DE corporate law), preferably from a mix of law firm and in-house experience

- Bar Admission: Admission to a relevant bar


Skills:

 - Knowledge of corporate governance, M&A transactions, and contract law.

 - Excellent drafting, negotiation, and analytical skills.

 - Understanding of biopharmaceutical industry regulations and compliance requirements is a plus.

 - Ability to communicate complex legal concepts clearly and effectively to non-legal stakeholders.

 - Proven track record of managing multiple projects and priorities in a fast-paced environment.
