The Corporate Counsel, Business Transactions, will join a small, high-powered team of talented attorneys dedicated to the structuring, negotiation, execution and related legal support for Pfizer's most significant strategic transactions, including mergers and acquisitions, divestitures, licenses, alliances and collaborations, joint ventures and other complex, high-value and high-profile transactions across all Pfizer businesses and geographies

ROLE RESPONSIBILITIES

* Counsel Pfizer leaders on structuring, negotiating and executing complex business development transactions
* Types of transactions supported include M&A, licensing, collaboration, joint venture and strategic investments
* Advise on issues under existing collaboration/JV agreements and past business development transactions
* Structure complex transactions and develop solutions to challenging legal and business issues
* Manage risk and ensure Pfizer gets the intended benefit of the transaction
* Coordinate large cross-functional deal teams, including internal legal and non-legal subject matter experts, external counsel and other advisors throughout all phases of the transaction process
* Manage teams responsible for timely and flawless execution of large-scale transactions, including securities filings, regulatory approvals, integration planning, shareholder approvals and local deal implementation and operational readiness activities in multiple jurisdictions worldwide
* Supervise and direct outside counsel support for transactions; manage outside counsel budget and utilization
* Support and contribute to Pfizer Legal Division projects and initiatives

QUALIFICATIONS :

Must-Have:

* Strong academic background
* Juris Doctor degree or equivalent required
* Member of State Bar
* 7+ years' experience
* 5+ as a corporate or transactional attorney in a large national or international law firm and/or in-house legal department at a major corporation, preferably in the pharmaceutical or life sciences sector
* Broad experience structuring, negotiating and executing strategic transactions in the pharmaceutical/life sciences sector, including licensing and collaboration transactions, public and private M&A transactions, and general corporate law matters
* Excellent written and verbal communication skills
* Sound and practical judgment, as well as common sense
* Ability to work independently and under tight timelines and to plan, prioritize and organize multiple cross-functional tasks
* Strong leadership, analytic, organization and project management skills
* Candidate demonstrates a breadth of diverse leadership experiences and capabilities including: the ability to influence and collaborate with peers, develop and coach others, oversee and guide the work of other colleagues to achieve meaningful outcomes and create business impact.

Nice-to-Have:

* Experience as the primary or lead transactional attorney on complex pharmaceutical/life sciences transactions for a large national or international law firm or comparable in-house experience
* Experience with cross-border M&A transactions
* Experience with large-scale legal entity restructuring programs (i.e., internal corporate reorganization projects)
* Experience with divestitures, out-licensing or similar externalization transactions
* Experience with venture capital and other strategic investment transactions
* Experience drafting or negotiation ancillary transaction agreements, such as transitional services agreements, investment agreements, manufacturing supply agreements or IP license agreements.

NON-STANDARD WORK SCHEDULE, TRAVEL OR ENVIRONMENT REQUIREMENTS

* Some travel will be required, could be national or international approximately to 10%, project dependent.

The annual base salary for this position ranges from $173,300.00 to $288,800.00. In addition, this position is eligible for participation in Pfizer's Global Performance Plan with a bonus target of 22.5% of the base salary and eligibility to participate in our share based long term incentive program.
