THE ROLE

Provide legal support to the entire company, with a primary focus on providing legal support to the compliance team, sales team and executive staff. Projects will include (i) the drafting and negotiating confidentiality agreements for the company’s current and prospective clients and vendors, as well as clients’ vendors, and (ii) the drafting and negotiating of various agreements between the company and current or prospective clients. 
 

YOU WILL

  • Review, negotiating, and drafting agreements on behalf of the company. 

  • Review and negotiate contracts with the company’s vendors as part of the onboarding process. 

  • Advise other departments and fellow employees on a variety of legal issues, including providing clarification on legal language or specifications; assisting the compliance team in handling client vendors; assisting the sales team with negotiations/conference calls/etc.; and collaborating with other departments as needed for special projects (e.g., assistance in policy creation/review, assistance with correspondence related to legal matters, etc.). 

  • Provide legal assistance to executive staff within the company. 

  • Provide assistance in response to client requests. 

  • Provide training and/or instruction on legal topics to the company. 

  • Manage the storage, updating, retention and limited distribution of company’s due diligence documentation. 

  • Assist and work with outside counsel, as required. 

  • Assist and work with other teams throughout the company, as required. 

YOU BRING

  • Juris Doctor (J.D.) degree from an accredited institution and maintaining a valid license to practice law throughout employment. 

  • Strong analytical, research, interpersonal and presentation skills, along with the ability to communicate effectively with others at all levels of the organization. 

  • Strong negotiating skills with both legal and financial/commercial issues. 

  • High degree of professionalism, especially with regard to demeanor, ethics, integrity and confidentiality. 

  • Ability to establish and maintain strong relationships within the organization and across all departments. 

  • Ability to work independently with little or no supervision to deliver error-free work product under time pressure. 

WORK PRODUCT PERFORMANCE STANDARDS: An employee’s performance in an Associate Corporate Counsel role meets expectations with regard to the creation of work product when the employee: 

  • Promotes trust amongst fellow attorneys and paralegals in the legal department, direct management, and the other teams throughout the organization. 

  • Creates a positive impression of the company’s professionalism to prospects and clients, particularly through the creation and presentation of clean, well-formatted, and error-free legal documents. 

  • Carefully reviews each request assigned to him/her and performs a thorough check for any inconsistencies or issues that may arise with regard to the request; performs necessary due diligence and/or escalation to resolve discovered issues. 

    Delivers work product that is: 

  • consistent with the thoroughness of preparation and high quality of service that is generally expected from attorneys and required by the Rules of Professional Conduct; 

  • created and completed independently, without placing an unreasonable burden on other members of the legal department or additional resources across the organization; 

  • proofed/reviewed by the producer for errors (to include the correction of any discovered errors) prior to return/delivery; and 

  • returned/delivered within a reasonable amount of time after assignment.

Compensation Information

Pursuant to state and local law disclosure requirements, the pay range for this role, with final offer amount dependent on education, skills, experience and location is $85,000 to $100,000 per year. This position may be eligible for an annual discretionary incentive award. The incentive award amount is dependent upon company performance and your personal performance and is not guaranteed.
