Corporate Counsel, Real Estate Transactions

Ashton Woods is conducting a search for a Corporate Counsel - Real Estate Transactions. Ashton Woods is seeking an experienced real estate attorney to join the corporate legal department. Broad transactional real estate experience, including drafting and negotiating agreements (purchase and sale agreements, financing agreements, joint development agreements, etc.); identifying and analyzing areas of risk; legal analysis of diligence and development matters; and proposing and driving solutions in complex transactions required. The position will be responsible for, among other things, strategizing with internal clients on transaction structure, overseeing real estate and related transactions across the company, managing outside counsel and internal employees, and working closely with internal clients at the corporate and division levels to provide advice with respect to real estate transactions, contracting issues, due diligence matters, development issues and legal and business risk.

The ideal candidate will have 7+ years of solid transactional real estate experience and will have played a lead role in transactions working directly with clients/opposing parties/counsel. This candidate will have experience providing advice and legal support to clients and senior business leaders on a wide array of real estate-related transactions, including acquisitions, development, financing and dispositions. This candidate will also possess excellent organizational and communication skills, strong business acumen and will be able to prioritize and manage a large number of transactions while providing well-reasoned and practical legal advice and counsel in a timely fashion to the legal team, operating divisions and senior management. Experience negotiating, drafting and reviewing legal documentation relating to land acquisitions, financings, development and dispositions is required. Experience providing legal advice to business leaders and experience with development matters, community facility districts, homeowner associations and utility availability issues strongly preferred.
