Our client, a dot-com company that provides a website builder, along with website hosting, domain name registration, web development and various digital marketing services is seeking to hire a Director of Contract Management on a fully REMOTE basis (with a preference for candidates based in the Eastern Time Zone).


The Contract Manager will responsible for reviewing, drafting, and negotiating Partner and other business contracts as representative of the Legal Department. This position provides labor law advice and contracts for the Americas, British employees or Contractors. The position is in charge of the Corporate Governance of all legal entities in the Americas region (Corporate Housekeeping, Environmental Social Governance matters). Additionally, the position will provide research, legal administrative support and contract, file and document management for the Legal Department.


Duties & Responsibilities:

  • Provides support to the Company and its affiliate companies on IP and other legal matters
  • Represents the Legal Department in contractual discussions and works closely with Engineering and Sales
  • Manages contracts and contract files and prepares contract summaries for the Legal Department (physical and electronic), including license agreements, reseller and partner, confidentiality, and other business agreements
  • Negotiates commercial agreements with Partners, end customers or suppliers, such as standard Reseller contract, Purchase Orders, amendments to exiting contracts or non-disclosure agreements
  • Requests legal guidance from outside attorneys where needed and agreed with Manager
  • Assists external attorneys in litigation matters by collecting business facts, doing reviews on statements and letters, preparing drafts, assisting in court meetings or negotiations
  • Prepare and maintain employment documentation (recruiting, release, severance, amendments, etc.) for Americas and UK
  • Manages the Corporate Governance for all entities in the region and supports in Environmental Social Governance matters
  • Prepares template contracts and letters (standardization) and responds to requests in a timely manner
  • Manages contractual deadlines from customer, supplier and other agreements
  • Creates spreadsheets, tables, and guidelines to facilitate the proper flow of information and increase process efficiency
  • Supports in the integration of new businesses (new products or acquisitions)
  • Coordinates the execution and dispatch of agreements, prepares intra-Company communications as required and performs other administrative tasks
  • Represents the Legal Department to oversee and manage all issues within all relevant areas of laws, in particular within the IP-/IT and/or Data Protection Law in the Americas region (and in other regions as assigned)

Experience:

  • Cross cultural sensitivity
  • 7-10 years experience with Saas, IT and Technology
  • Experience with contract management tools
  • Strong negotiation skills

Miscellaneous:

  • Flexibility in times of increasing workload, esp. on approaching deadlines
  • Responsibility for all delegated legal tasks in the Americas.
  • Reports to the General Counsel.

Education: Minimum degree BA or BS
