The Role: In this position, you'll be responsible for overseeing a diverse range of legal matters, offering counsel to clients, and guiding them through the complexities of technology, licensing, and intellectual property-related transactions. You will play a key role in structuring, negotiating, and finalizing agreements and play a pivotal role within our team, committed to delivering exceptional legal solutions.


Experience in Commercial Real Estate, including negotiating and drafting contracts and leases, amendments, purchase and sale agreements, letters of intent, deeds, and other documents for both buyers and sellers, is a plus.


Essential Duties & Responsibilities:

  • Draft, review, redline, and negotiate various technology and financial services related agreements, related to IT, software, fintech, licensing, hosting, outsourcing, SaaS, PaaS, consulting, professional services, confidentiality, and data use and privacy
  • Identify, assess, and advise on various data privacy matters and regulatory questions and inquiries related to technology and financial services related transactions
  • Provide advice and counsel regarding the adequacy of contractual protections, processes, and policies to effect compliance with the evolving legal and regulatory environment in respect of the vendor arrangements
  • Directly and effectively communicate with clients’ Senior Leadership and In-House Counsel to guide various complex transactions to completion while assessing and analyzing potential risk
  • Assist with the development of policies and processes and standard template language


General Attributes

  • Strong working knowledge of technology, licensing, outsourcing, intellectual property laws and regulations as well as privacy and information security laws in the financial services realm including GLBA, CCPA, and GDPR
  • Strong analytical abilities to effectively identify, research, analyze, and communicate legal issues, assess potential exposure, propose alternative courses of action, and make well-reasoned recommendations
  • Ability to work on multiple projects simultaneously, prioritize deadlines, and clearly and professionally communicate in a fast-paced, deadline-driven environment
  • Strong interpersonal skills with an ability to interact and communicate effectively with internal and external contacts at all levels
  • Excellent communication, organization, and legal research, writing, and analytical skills
  • Ability to issue spot and provide legal advice on complex legal and regulatory issues
  • Possess a strong work ethic and excellent interpersonal skills


Qualifications (Education / Experience)

  • J.D. from a top-tier U.S. law school
  • Licensed in California (additional state license(s) ideal)
  • 4+ years of experience as an attorney at a reputable law firm or in-house legal department advising, counseling, structuring, and negotiating technology, licensing, and intellectual property-related transactions.
  • Experience in reviewing, drafting, and negotiating technology and fintech contracts
  • An understanding of the vendor management process is preferred
  • The firm’s clients are almost exclusively financial institutions, thus, candidates with experience in financial services are highly preferred.
  • Commercial Real Estate experience a plus
