Corporate Associate Attorney

A highly regarded business law firm is seeking a Corporate Associate Attorney with 3‐6 years of experience to join its Business & Transactions practice group. The qualified candidate will have experience working on a team, assisting in drafting and negotiating purchase agreements, financing agreements, and other transaction documents, and assisting in due diligence and closings. This includes supporting a deal team in complex mergers, business restructurings, asset purchase and sale transactions, equity purchase and sale transactions, financing rounds from individual investors as well as private equity and venture capital firms, and executive compensation and synthetic equity offerings. The successful candidate will have outstanding negotiation and communication skills, with sharp attention to detail, and will work well as part of a collaborative team.

Qualifications & Skills:

  • JD from an accredited law school
  • Licensed to practice in D.C. (or prompt admission)
  • 3-6 years of experience in business transactions, mergers and acquisitions, joint ventures, and other corporate matters
  • Experience managing all aspects of business transactions from cradle to grave
  • Detail-oriented with the ability to manage multiple priorities and meet deadlines efficiently
  • Superior written and verbal communication skills, and adept at negotiating
  • Experience with entity formation and structuring, shareholder/partnership agreements, employee incentive plans, and/or commercial lending transactions is a plus
  • M&A and Corporate experience with government contractors is also a plus, but not a requirement.
